INDEPENDENT SELLER. Seller, in performance of the Work under this Agreement, is acting as an independent Seller and shall have the exclusive control of the manner and means of performing the work. Personnel and subSellers supplied by Seller hereunder are not City's employees, agents or representatives, and Seller assumes full responsibility for their acts.
INDEPENDENT SELLER. Seller is an independent Seller for all purposes. Seller shall have complete control over the performance of, and the details for accomplishing, the Services. In no event shall Seller or its agents, representatives or employees be deemed to be agents, representatives or employees of Buyer. Seller’s employees shall be paid exclusively by Seller for all services performed. Seller shall comply with all requirements and obligations relating to such employees under federal, provincial and local law (or foreign law, if applicable). Such compliance shall include, but not be limited to, laws regarding minimum wages, social insurance, unemployment insurance, federal and provincial income taxes and workers’ compensation insurance.
INDEPENDENT SELLER. Residents Energy is an independent seller of power and energy service certified by the Illinois Commerce Commission. Residents Energy is not representing, endorsed by, or acting on behalf of, a utility or a utility program, a consumer group or a consumer group program, or a governmental body or program of a governmental body.
INDEPENDENT SELLER. Multitrade shall perform hereunder as an independent seller and neither Multitrade nor Xxxxxxx-Xxxxxx shall be deemed in any way or for any purpose, by nature of this Agreement or otherwise, a partner, joint venturer, agent, employer or employee of the other.
INDEPENDENT SELLER. 3.1 Seller represents that it is fully experienced, properly qualified, registered, licensed, equipped, organized and financed to perform the Work under this Agreement. Seller shall act as an independent contractor and not as an agent of Buyer or Owner in performing this Agreement, maintaining complete control over its employees and all of its Subcontractors. Nothing contained in this Agreement or any lower-tier subcontract awarded by Seller shall create any contractual relationship between any such Subcontractor and either Buyer or Owner. Seller shall perform its Work hereunder in accordance with its own methods subject to compliance with the Agreement. INDEPENDENT SELLER. 1. Seller's relationship to LFSC shall be that of an independent contractor. Personnel supplied by Seller hereunder shall be deemed employees of Seller and shall not for any purposes be considered employees or agents of LFSC. Seller assumes full responsibility for the actions of such personnel while performing services under this Subcontract and shall be solely responsible for their supervision, daily direction and control, payment of salary (including withholding of income taxes and social security), workers' compensation, disability benefits and the like. Seller's supervisors/management shall resolve all performance and personnel matters of Seller's employees.
INDEPENDENT SELLER. The Distributor is a direct selling salesperson. The contract between the Company and its distributors does not create an employer relationship between the Company and the distributors. The Distributor agrees to hold the Company free from all claims and damages arising from the Distributor's practices. Each Distributor is encouraged to set his or her own hours and methods of selling, provided that he or she complies with the Company's policies and procedures. The Distributor is responsible for fulfilling all his obligations as an independent contractor, declarations, charges, contributions, expenses due to his activity and in particular taxes as well as insurance for his civil liability and the use of his vehicle, if he uses his vehicle for his activity. ENAGIC can provide the Independent Home Seller (IHV) with management and administrative assistance, consisting in particular of the supply of accounting models, the provision of a product stock management system, the communication of the amount of commission earned by the IHV in respect of his activity and the drawing up of a deduction slip which can replace, if necessary, the invoicing of the commission.
INDEPENDENT SELLER. The Buyer and Seller agree that the relationship created by the Order and this Addendum is that of independent Seller and that the Order and this Addendum does not make Seller a partner, joint venturer, employee or agent of the Buyer for any purpose whatsoever. The parties further agree that neither the Buyer nor Seller is in any way authorized to make any agreement, contract or representation on behalf of the other party or to create any liabilities on behalf of the other party. Seller agrees that neither Seller nor any of its employees or agents is an employee of the Buyer and that none of them is entitled to any benefits provided or rights guaranteed by the Buyer, or by operation of law, to their respective employees, including group insurance, liability insurance, disability insurance, paid vacation, sick leave or other leave, retirement plans, health plans, premium “overtime” pay, and the like.
INDEPENDENT SELLER. The Seller at all times shall be an independent contractor. The Seller shall be fully responsible for all acts and omissions of its employees, subcontractors and their suppliers, and shall be specifically responsible for sufficient supervision and inspection to ensure compliance in every respect with the purchase order requirements. There shall be no contractual relationship between any subcontractors or supplier of the Seller and the District by virtue of the purchase order. No provision of this purchase order shall be for the benefit of any party other than the District and the Seller.
INDEPENDENT SELLER. Nothing in the Cracka Terms may be construed as creating a relationship of partnership, principal and agent, or trustee and beneficiary.
