Information Furnished by BISYS. BISYS has furnished to the Trust the following:
(a) BISYS' Articles of Incorporation.
(b) BISYS' Bylaws and any amendments thereto.
(c) Certified copies of actions of BISYS covering the following matters:
1. Approval of this Agreement, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
2. Authorization of BISYS to act as Transfer Agent for the Trust.
(d) A copy of the most recent independent accountants' report relating to internal accounting control systems as filed with the Commission pursuant to Rule 17Ad-13 under the Exchange Act.
Information Furnished by BISYS. BISYS has furnished to the Trust evidence of the following:
(a) Approval of this Agreement by BISYS, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
(b) Authorization of BISYS to act as fund accountant for the Trust.
Information Furnished by BISYS. BISYS has furnished to the Company the following:
(a) BISYS' Articles of Incorporation.
(b) BISYS' Bylaws and any amendments thereto.
(c) Certified copies of actions of BISYS covering the following matters:
1. Approval of this Agreement, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
2. Authorization of BISYS to act as Transfer Agent for the Company.
Information Furnished by BISYS. (a) BISYS has furnished to the Trust the following:
(i) BISYS's Articles of Incorporation; and
(ii) BISYS's Bylaws and any amendments thereto.
(b) BISYS shall, upon request, furnish certified copies of actions of BISYS covering the following matters:
(i) Approval of this Agreement, and authorization of a specified officer of BISYS to execute and deliver this Agreement; and
(ii) Authorization of BISYS to act as fund accountant for the Trust and to provide accounting services for the Trust.
Information Furnished by BISYS. BISYS agrees to furnish to the Company, upon its request, evidence of the following:
(a) Approval of this Agreement by BISYS, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
(b) Authorization of BISYS to act as Transfer Agent, Fund Accountant and Administrator for the Company;
(c) The current BISYS As-of Trading Policy; and
(d) The current version of BISYS written polices and procedures with respect to its provision on AML Services (as defined in Section 23 below). Upon request, BISYS shall furnish a copy of the relevant provisions of its internal policies on service of employees as executive officers of funds ("BISYS Policies"), and any material amendments thereto, to the Company.
Information Furnished by BISYS. BISYS has furnished to the Company evidence of the following:
(a) Approval of this Agreement by BISYS, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
(b) Authorization of BISYS to act for the Company in the capacities designated herein.
(c) The current BISYS "As-of" Trading Policy.
Information Furnished by BISYS. BISYS has furnished to the Trust the following:
(a) The currently effective BISYS "As-of" Trading Policy.
(b) The written program concerning anti-money laundering services rendered by BISYS to its various clients.
Information Furnished by BISYS. BISYS has furnished to the Trust, or will furnish upon request, evidence of the following:
(a) Approval of this Agreement by BISYS, and authorization of a specified officer of BISYS to execute and deliver this Agreement.
(b) Authorization of BISYS to act as Transfer Agent for the Trust.
(c) The written program concerning anti-money laundering services rendered by BISYS to its various clients.
Information Furnished by BISYS. BISYS has furnished to Fifth Third the following:
(a) BISYS' Articles of Incorporation and any amendments thereto.
(b) BISYS' Bylaws and any amendments thereto.
(c) Certified copies of actions of BISYS covering the following matters:
1. Approval of this Agreement, and authorization of a specified officer of BISYS to execute and deliver this Agreement;
2. Authorization of BISYS to act as Sub-Transfer Agent for the Company.
(d) A copy of the most recent independent accountants' report relating to BISYS' internal accounting control systems as filed with the Commission pursuant to Rule 17Ad-13 under the Exchange Act.
Information Furnished by BISYS. BISYS will furnish to the Trust upon request, evidence of the approval of this Agreement by BISYS, and authorization of a specified officer of BISYS to execute and deliver this Agreement.
