Information Services Agreement. The following sets forth our agreement with respect to the delivery of certain information to the Board or its agents as requested by the Board from time to time.
Information Services Agreement. At the Closing, an appropriate Affiliate of Sellers and Buyers will enter into an Information Technology Transition Services Agreement substantially in the form attached hereto as Exhibit B.
Information Services Agreement. The Information Services Agreement (including the related Business Associate Agreement) contemplated by Section 2.2(j) shall be in form and substance reasonably satisfactory to Buyer.
Information Services Agreement. At the Closing, an Affiliate of Seller and Buyer will enter into an Information Services Agreement in substantially the form of Exhibit F hereto. Buyer shall prepay $10,000,000 of fees payable under the Information Services Agreement and the Transition Services Agreement at Closing as part of the Purchase Price payable under this Agreement.
Information Services Agreement. Buyer and UCH shall have entered into an agreement pursuant to which the information services department of UCH shall provide to Buyer (i) access to the material applications described on Schedule 10.12 and (ii) support and data processing services related to the material applications described on Schedule 10.12, upon terms and conditions described on Schedule 10.12 and otherwise on terms substantially similar to those currently enjoyed by Seller.
