Information to be Supplied by the Company. The Company shall provide to the Trustee on a timely basis upon request such information not known or otherwise available to the Trustee concerning the Royalty Interest (including information with respect to the properties burdened by the Royalty Interest) as shall be necessary to permit the Trustee to comply with respect to the Trust with the reporting obligations of the Trust pursuant to the Securities Exchange Act of 1934, as amended, the requirements of any stock exchange on which the Units are listed and this Agreement and for any other reasonable purpose of the Trust. The Company hereby agrees to indemnify The Bank of New York, the Trustee and the Trust, against any loss, liability, damage and expense (including reasonable attorneys' fees) incurred by The Bank of New York, the Trustee or the Trust as a result of or arising out of any of the information provided to the Trustee by the Company pursuant to this Section 4.05 being untimely, incorrect, misleading or untrue in any material respect.

Information to be Supplied by the Company. To the extent known or otherwise available to the Company without unreasonable effort or expense, the Company shall provide to the Trustee on a timely basis upon request such information not known or otherwise available to the Trustee concerning the Royalty Properties (including information with respect to the properties presently burdened by the Royalty Properties) as shall be necessary to permit the Trustee to comply with respect to the Trust with the reporting obligations of the Trust pursuant to the Securities Exchange Act of 1934, as amended, the requirements of any stock exchange on which the Units are listed and of this Agreement and for any other reasonable purpose of the Trustee. The out-of-pocket costs incurred by the Company (which shall not include reimbursement of general and administrative overhead expenses or salaries of its employees) in preparing or obtaining information pursuant to this Section 4.05 (including but not limited to all fees with respect to the employment of accountants, lawyers, engineers or other professionals not employed as employees of the Company) shall be reimbursed to the Company by the Trust. The Company hereby agrees to indemnify the Trustee, as Trustee of the Trust, against any loss, liability, damage and expense (including reasonable attorneys’ fees) incurred by the Trustee as a result of or arising out of any of the information provided to the Trustee by the Company pursuant to this Section 4.05 being untimely or incorrect or untrue in any material respect.
Information to be Supplied by the Company. The Company shall supply all information requested by MIMI or by the Company's U.S. or Mexican Customs broker. In particular, the Company shall provide accurate information regarding all of the "assists" which are used in the production of the Products. "Assists" are defined in 19 C.F.R. Section 152.102 (1996).
Information to be Supplied by the Company. The Company acknowledges that that Executive will be using and relying on management discussions, data, material and other information furnished to it by the Company as well as information otherwise available regarding the Company (collectively, the “Information”). The Company will make available all the Information, as Executive shall reasonably request, including, but not limited to, historical and current interim and annual financial statements, cash flow statements and supporting documents and schedules, together with such other records and data as determined relevant by Executive. Executive shall be entitled to rely and shall be fully protected in relying upon any document or statement provided by the Company to Executive and upon representations made by officers and agents of the Company to Executive. All Information received from the Company will remain the property of the Company. Executive recognizes that all information provided by the company is confidential and unless it is generally available in the public domain and will keep such information confidential unless compelled by a court of law.
