The Business Associate will make its internal practices, books, and records relating to its use and disclosure of the Covered Entity’s Protected Health Information available to the Covered Entity and to HHS to determine compliance with the HIPAA Rules.

BUSINESS ASSOCIATE will make its internal practices, books, and records relating to its use and disclosure of COMPANY’s Protected Health Information available to COMPANY and to DHHS to determine COMPANY’s compliance with the Privacy Rule, 45 C.F.R. Part 164, Subpart E.

Business Associate will make its internal practices, books, and records relating to its use and disclosure of Covered Entity’s Protected Health Information available to Covered Entity and to DHHS to determine Business Associate’s compliance with the terms and conditions of this Agreement and Covered Entity’s compliance with 45 C.F.R. Part 164, Subpart E “Privacy of Individually Identifiable Health Information.” Business Associate acknowledges and agrees that its failure to provide Covered Entity or DHHS with access to such records shall constitute a material breach of this Agreement and shall subject this Agreement to termination under Section 5(b).

The PayRight, subject to its right to secure confidential and proprietary information, will make its internal practices, books, and records relating to its use and disclosure of the Client’s PHI available to the Client and to HHS to determine compliance with the Privacy Rule. Client shall pay PayRight’s reasonable expenses incurred to fulfill any such inspection request.
