Instructions by Fax. 1. Instructions shall be signed by authorized signer (s) in accordance with the Customer’s signature card with the Branch. Authorized Person(s) is/are authorized to give instructions on behalf of the Customer either by facsimile transmission, telecopier or telex (each being a communication by “FAX”): The Customer chooses following item(s) as marked “x” in the box “□”: (a) To transfer funds or make any debit or credit arrangement from bank account in the Customer’s name to a particular individual, firm or corporation. The names and account numbers are as follows: Debiting account number(s): Crediting account name(s), number(s) and bank information(s) are as below: (b) To transfer funds from bank account in the Customer’s name to any individual, firm or corporation. □ (c) Relating to foreign exchange transaction.

Instructions by Fax. 12.1. The Customer assumes the entire responsibility related with the consequences of sending fax instructions to the Bank, and agrees and declares that the Bank shall not have any responsibility if the Bank does/can not process the instruction because of technical and/or natural reasons, or because the instruction is contradictory in content, and/or without any reason. 12.2. The Customer informs a fax number in writing, in the application form and/or at the end of this Agreement. The Customer agrees and undertakes to send fax instructions from this number, and that all faxes sent from this number are the Customer’s own instructions. All pages of a fax instruction should have been signed by the Customer or its officials. The Customer is obliged to take the necessary precautions to ensure that only the Customer and/or its officials transmit fax instructions to the Bank. Changes in the Customer’s officials shall be informed to the Bank in writing, together with the supporting documents. Otherwise, the Bank shall not be responsible for the transactions processed upon instructions sent by old officials. 12.3. The Bank is not responsible for the fax instruction being inaccurate or insufficient, or it being transmitted inaccurately or incompletely, or in an altered state. Furthermore, the Customer agrees, declares and undertakes that, the Bank shall not be responsible for not being able to differentiate the signature similarities between the fax instruction, original confirmation instruction and/or the signature circular, where there are similarities that cannot be recognized at a first glance; fraud and counterfeit dimensions of fax instructions; that general or private communication tools and systems do not function or malfunction; in case the Customer sends a fax instruction from another number than the one written in this Agreement. When determining the time of receipt of a fax instruction, the Bank records shall be considered. When checking the signatures on a fax instruction, the Bank takes reasonable care. The original copy of the fax instruction shall be sent to the Bank immediately, as a confirmation. The Bank processes the fax instruction without waiting for the original copy. However, the Bank is entitled not to process the fax instruction and wait for the original document. The Customer agrees, declares and undertakes that the

  • Acting on Instructions; Unclear Instructions (a) Bank is authorized to act under this Agreement (or to refrain from taking action) in accordance with the instructions received by Bank, via telephone, telex, facsimile transmission, or other teleprocess or electronic instruction or trade information system acceptable to Bank ("Instructions"). Bank shall have no responsibility for the authenticity or propriety of any Instructions that Bank believes in good faith to have been given by Authorized Persons or which are transmitted with proper testing or authentication pursuant to terms and conditions that Bank may specify. Customer authorizes Bank to accept and act upon any Instructions received by it without inquiry. Customer shall indemnify the Bank Indemnitees against, and hold each of them harmless from, any Liabilities that may be imposed on, incurred by, or asserted against the Bank Indemnitees as a result of any action or omission taken in accordance with any Instructions or other directions upon which Bank is authorized to rely under the terms of this Agreement, provided that Bank shall not be indemnified against or held harmless from any Liabilities arising out of Bank's negligence, bad faith, fraud, or willful misconduct. (b) Unless otherwise expressly provided, all Instructions shall continue in full force and effect until canceled or superseded. (c) Bank may (in its sole discretion and without affecting any part of this Section 3.1) seek clarification or confirmation of an Instruction from an Authorized Person and may decline to act upon an Instruction if it does not receive clarification or confirmation satisfactory to it. Bank shall not, except as provided in Section 7.1 hereof, be liable for any loss arising from any delay while it seeks such clarification or confirmation. (d) In executing or paying a payment order Bank may rely upon the identifying number (e.g. Fedwire routing number or account) of any party as instructed in the payment order. Customer assumes full responsibility for any inconsistency within an Instruction between the name and identifying number of any party in payment orders issued to Bank in Customer's name.
