Instruments/Tangible Chattel Paper/Documents. If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument or Tangible Chattel Paper, or if any property constituting Collateral shall be stored or shipped subject to a Document, (i) ensure that such Instrument, Tangible Chattel Paper or Document is either in the possession of such Grantor at all times or, if requested by the Administrative Agent, is immediately delivered to the Administrative Agent, duly endorsed in a manner satisfactory to the Administrative Agent and (ii) ensure that any Collateral consisting of Tangible Chattel Paper is marked with a legend acceptable to the Administrative Agent indicating the Administrative Agent’s security interest in such Tangible Chattel Paper.

Such Grantor shall ensure that any Collateral consisting of Tangible Chattel Paper is marked with a legend acceptable to the Administrative Agent indicating the Administrative Agent’s security interest in such Tangible Chattel Paper.
Instruments/Tangible Chattel Paper/Documents. If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument or Tangible Chattel Paper having a face value of more than (x) $2,000,000, individually, or (y) $10,000,000, when aggregated together with the value of all other Instruments and Tangible Chattel Paper, not yet delivered to the Administrative Agent pursuant to this Section 4(a), or if any Collateral shall be stored or shipped subject to a Document, (A) ensure that such Instrument, Tangible Chattel Paper or Document is either in the possession of such Grantor at all times or, if requested by the Administrative Agent because possession is required to perfect its first priority security interest in such Collateral, deliver such Instrument, Tangible Chattel Paper or Document to the Administrative Agent duly endorsed in a manner reasonably satisfactory to the Administrative Agent and (B) upon the request of the Administrative Agent, ensure that any such Tangible Chattel Paper is marked with a legend reasonably acceptable to the Administrative Agent, indicating the Administrative Agent’s security interest in such Tangible Chattel Paper.

Instruments/Tangible Chattel Paper/Documents. If any amount payable under or in connection with any of the Collateral shall be or become evidenced by any Instrument or Tangible Chattel Paper, or if any property constituting Collateral shall be stored or shipped subject to a Document, and such amount, together with all amounts payable evidenced by any Instrument or Tangible Chattel Paper, and the value of all such property constituting Collateral subject to a Document not previously delivered to the Collateral Agent (or with respect to any Term Priority Collateral, to the Term Loan Administrative Agent) exceeds $5,000,000 in the aggregate for all Grantors, the Grantor acquiring such Instrument or Tangible Chattel Paper or owning such Collateral shall promptly (and in any event within 30 days) deliver such Collateral to the Collateral Agent (or with respect to any Term Priority Collateral, to the Term Loan Administrative Agent) accompanied by the statement of transfer or assignment duly executed in blank and (i) ensure that such Instrument, Tangible Chattel Paper or Document is duly endorsed in a manner satisfactory to the Collateral Agent and (ii) ensure that any Collateral consisting of Tangible Chattel Paper is marked with a legend reasonably acceptable to the Collateral Agent indicating the Collateral Agent’s security interest in such Tangible Chattel Paper.
Instruments/Tangible Chattel Paper/Documents. If, on or after the Collateral Effective Date, any amount payable in excess of $50,000 under or in connection with any of the Collateral in excess of $50,000 shall be or become evidenced by any Instrument, or Tangible Chattel Paper, or if any property constituting Collateral shall be stored or shipped subject to a Document, such Instrument, Tangible Chattel Paper or Document is either in the possession of such Obligor at all times or, if requested by the Collateral Agent, to perfect its security interest in such Collateral, is delivered to the Collateral Agent duly endorsed in a manner reasonably satisfactory to the Collateral Agent. Such Obligor shall ensure that any Collateral consisting, on or after the Collateral Effective Date, of Tangible Chattel Paper is marked with a legend reasonably acceptable to the Collateral Agent indicating the Collateral Agent's security interest in such Tangible Chattel Paper.

Instruments/Tangible Chattel Paper/Documents. Upon the written request of the Collateral Agent, the Grantors will (i) promptly deliver to the Collateral Agent each original of each (A) Instrument and item of Tangible Chattel Paper at any time constituting part of the Collateral with a value in excess of $1,000,000 individually, or $2,000,000 in the aggregate, and (B) Document pursuant to which any property constituting Collateral with a value in excess of $1,000,000 individually or $2,000,000 in the aggregate, shall be stored or shipped (in each case of the foregoing clauses (A) and (B), duly endorsed in a manner satisfactory to the Collateral Agent), and (ii) cause each original of each item of Tangible Chattel Paper at any time constituting part of the Collateral with a value in excess of $1,000,000 individually or $2,000,000 in the aggregate, and each copy thereof, to bear a conspicuous legend, in form and substance reasonably satisfactory to the Collateral Agent, indicating that such Tangible Chattel Paper is subject to the security interest granted hereby and that purchase of such Tangible Chattel Paper by a Person other than the Collateral Agent and the other Secured Parties without the consent of the Collateral Agent and the Secured Parties would violate the rights of the Collateral Agent and the Secured Parties; provided that, notwithstanding anything to the contrary, such obligations may be satisfied by delivering such Instruments, Tangible Chattel Paper or Document to the collateral agent under the Senior Loan Agreement.
