Integrated Agreement; Amendments. This Agreement constitutes the entire understanding and agreement between the parties hereto with respect to the subject matter hereof and supersedes all prior agreements between the parties. This Agreement may be amended or modified at any time in all respects, but only by an instrument in writing executed by the parties hereto.
Integrated Agreement; Amendments. Except with respect to the provisions of the CIC Plan and the Employment Agreement expressly referenced herein, this Agreement sets forth the entire agreement of Duke Energy and the Executive with respect to the subject matter hereof, and supersedes all other agreements between any of the Affiliated Entities and the Executive and any employment or severance plan, policy, agreement or arrangement of any of the Affiliated Entities. Without limiting the generality of the foregoing, the Executive expressly acknowledges and agrees that except as specifically set forth in this Agreement, he or she is not entitled to receive any severance pay, severance benefits, compensation or employee benefits of any kind whatsoever from Duke Energy or any of its affiliates. This Agreement may not be amended unless the amendments are in writing and signed by the Executive and an authorized representative of Duke Energy.
Integrated Agreement; Amendments. From and after the Effective Date, this Agreement shall supersede the Seller Employment Agreement and any other employment or severance agreement or arrangement among the parties or Seller and its affiliates and Executive shall not be eligible for severance benefits under any plan, program or policy of the Company or the Seller or their affiliates or pursuant to the Seller Employment Agreement. This Agreement can only be changed or modified pursuant to a written instrument duly executed by each of the parties hereto. Executive hereby acknowledges that any change in control, severance, termination or similar payments or compensation for which Executive is eligible under the Seller Employment Agreement is hereby waived.
Integrated Agreement; Amendments. Except for stock option agreements and the terms of the 2003 Equity Plan, this Agreement constitutes the entire understanding and agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior agreements, understandings, memoranda, term sheets, conversations and negotiations, including without limitation the Employment Agreement between the Company and Executive dated January 19, 1998. This Agreement can only be changed or modified pursuant to a written instrument duly executed by each of the parties hereto.
Integrated Agreement; Amendments. (a) The recitals and Schedules to this Agreement constitute an integral part of this Agreement and are incorporated herein by this reference. This Agreement and the Schedules constitute the entire agreement among the parties with respect to the subject matter hereof and supersede all prior oral and written agreements and understandings, and all contemporaneous alleged oral agreements or understandings between the parties with respect to the transactions contemplated by this Agreement.
(b) This Agreement may be modified only by a written instrument duly executed by each party hereto.

Except with respect to the provisions of the Employment Agreement expressly referenced herein and Section 16 of the Employment Agreement, which the parties agree shall survive in its entirety, this Agreement sets forth the entire agreement of First PacTrust and the Executive with respect to the subject matter hereof, and supersedes all other agreements between any of the Affiliated Entities and the Executive and any employment or severance plan, policy, agreement or arrangement of any of the Affiliated Entities. Without limiting the generality of the foregoing, the Executive expressly acknowledges and agrees that except as specifically set forth in this Agreement and the Employment Agreement to the extent that it is incorporated herein, he is not entitled to receive any severance pay, severance benefits, compensation or employee benefits of any kind whatsoever from First PacTrust or any of its affiliates. This Agreement and the documents and instruments and other agreements between the parties delivered pursuant hereto constitute the entire agreement among the parties with respect to the subject matter hereof and supersede all prior oral and written agreements and understandings, and all contemporaneous alleged oral agreements or understandings, between the parties with respect to the transactions contemplated by this Agreement, except that the Confidential Disclosure Agreement dated April 1, 1997 between HP and Forefront shall remain in full force and effect.
