Intellectual Property Assignment/Recordation. Each Party will be responsible for, and will pay all expenses (whether incurred before or after the Business Transfer Time) involved in notarization, authentication, legalization and/or consularization of the signatures of any of the representatives of its Group on any of the Transfer Documents relating to the transfer of Intellectual Property. Fuels will be responsible for, and will pay all expenses (whether incurred before or after the Business Transfer Time) relating to, the recording of any such Transfer Documents relating to the transfer of Intellectual Property to any member of the Fuels Group with any Governmental Authorities as may be necessary or appropriate.

New BBX Capital will be responsible for, and will pay all expenses (whether incurred before or after the Effective Time) relating to the recording of any such documents relating to the Conveyance of Intellectual Property to any member of the New BBX Capital Group with any Governmental Authorities as may be necessary or appropriate.

Red Lion will be responsible for, and will pay, all expenses (whether incurred before, at or after the Separation Time) relating to, the recording of any such Transfer Documents relating to the transfer of Intellectual Property to any member of the Red Lion Group with any Governmental Authorities as may be necessary or appropriate.

Acquiror will be responsible for, and will pay, all expenses (whether incurred before or after the Business Transfer Time) relating to, the recording of any such Transfer Documents relating to the transfer of Intellectual Property from any member of the Parent Group to any member of the Acquiror Group with any Governmental Authorities as may be necessary or appropriate (other than expenses with respect to correcting or updating information that, immediately prior to the Closing Date, is incorrect or has not been updated with any Governmental Authorities concerning the Registered Intellectual Property immediately prior to the Closing Date and which is required to be corrected or updated in order to validly and effectively transfer such Registered Intellectual Property from a member of the Parent Group (other than any Galleria Group members) to a member of the Galleria Group, which shall be corrected and paid for by Parent).

Acquiror will be responsible for, and will pay, all expenses (whether incurred before or after the Closing) relating to, the recording of any such Transfer Documents relating to the transfer of the Foxtail Owned IP Assets from any member of the Seller Group to any member of the Acquiror Group with any Governmental Authorities as may be necessary or appropriate.
Intellectual Property Assignment/Recordation. MAINTENANCE. For purposes of this Section 6.13, the term "expenses" will include, without limitation, expenses of drafting, notarization, authentication, legalization and/or consularization.
(a) Seller will prepare and will pay all expenses (whether incurred before or after the Effective Time) involved in preparing the Trademark assignment documents, by country, and obtaining appropriate signatures from Seller's representatives. Buyer will be responsible, and will pay all expenses (whether incurred before or after the Effective Time) involved in, obtaining appropriate signatures from Buyer's representatives on such Trademark assignment documents. Buyer shall pay all expenses in connection with recording such Trademark assignment documents with the appropriate Governmental Entities.
(b) Seller will pay all bills for Trademark expenses which are received after the Effective Time but which relate to work performed for the benefit of Seller before the Effective Time or to costs to maintain the Trademarks up to the Effective Time. The phrase "work performed for the benefit of Seller" will not include any work, whether performed before or after the Effective Time, related to the transfer of the Trademarks to Buyer, other than that specifically assumed by Seller pursuant to Section 6.13(a) above.

Except with respect to any applicable Transfer Taxes or VAT (the payment of which shall be exclusively governed by Sections 8.02 and 8.03, respectively), Acquiror will be responsible for, and will pay, all expenses (whether incurred before or after the Closing) relating to, the recording of any such Transfer Documents relating to the transfer of Intellectual Property from any member of the Seller Group to any member of the Acquiror Group with any Governmental Authorities as may be necessary or appropriate.
