Interests of agents. Certain of the Agents and their affiliates have engaged, and may in the future engage, in investment banking and/or commercial banking transactions with, and may perform services for, the Bank in the ordinary course of business without regard to the Bank, the Guarantor, the Trustee or the holders of the Notes. There are potential conflicts of interest between you and the Calculation Agent The Bank or one of its affiliates may serve as the Calculation Agent. The Calculation Agent will, among other things, decide the amount of your payment for any applicable payment date, and make any other required determinations. We may change the Calculation Agent after the original Issue Date without notice to you. The Calculation Agent will be required to carry out its duties in good faith and use its reasonable judgment. However, because the Calculation Agent will exercise its judgment when performing its functions and may take into consideration the Bank’s ability to unwind any related xxxxxx, and this discretion by the Calculation Agent may affect payments on the Notes, the Calculation Agent may have a conflict of interest if it needs to make any such decision. If the Bank determines that the performance of its obligations under the Notes has or will become illegal in whole or in part for any reason, the Bank may redeem or cancel the Notes, as applicable If, in the case of illegality and to the extent permitted by applicable law, the Bank redeems or cancels the Notes, then the Bank will redeem each Note at the principal amount together (if applicable) with interest accrued to (but excluding) the date of redemption, less hedging costs, which may be less than the Issue Price of the Notes and may in certain circumstances be zero.
