Interpretation of Agreement; Venue. This Agreement will be interpreted and construed according to the laws of the State of Minnesota. All litigation regarding this agreement must be venued in the District Court of the County of Xxxxxx, Second Judicial District, State of Minnesota.
Interpretation of Agreement; Venue. This Agreement shall be interpreted and construed according to the laws of the State of California. All litigation regarding this Agreement shall be venued in the Orange County Superior Court or the federal district court for the Central District of California.

6.19.2. The provisions of this Agreement are severable. If any part of this Agreement is rendered void, invalid or unenforceable, such rendering shall not affect the validity and enforceability of the remainder of this Agreement.

Nothing herein shall be deemed to restrict or prohibit the Company from enforcing its Recoupment Policy (as set forth in the Compensation Committee Key Practices of the Company). I acknowledge that I am bound by and subject to the Recoupment Policy and that the Recoupment Policy may require reduction or repayment of the Severance Benefits. The parties agree that Indiana law will apply to the interpretation of this Agreement, and that exclusive venue shall exist with the courts of Indiana or the U.S. District Court for the Southern District of Indiana.
