Inventory Sale. For a period of [***] (the “Inventory Sell Down Period”), Hospira and its Affiliates may continue to distribute and sell any labeled Product remaining in Hospira’s inventory at the time of the expiration or termination of this Agreement, and Pfenex hereby grants Hospira a worldwide, non-exclusive license to sell and distribute such remaining labeled Product inventory in connection therewith. For clarity, Product sold by Hospira or its Affiliates pursuant to this Section 10.4(c) shall be subject to the payments under Article IV with respect thereto.

Inventory Sale. Until one hundred and eighty (180) days following the effective date of such termination of this Agreement (or, on a jurisdiction-by jurisdiction basis in the Territory, such earlier date upon which the Licensor or its designee commences the distribution and sale of Product in such jurisdiction, if applicable, provided that the Licensor or its designee shall have purchased from NT Pharma, before its commencement of the distribution and sale of Product, all remaining Product inventory in that jurisdiction with at least one (1) year of shelf-life remaining at the time of purchase and at a price agreed by the relevant parties, such price not to exceed the transfer price paid by NT Pharma to the Licensor for such Product) (the “Inventory Sell Down Period”),NT Pharma and its Affiliates may continue to distribute and sell in the Territory any labeled Product remaining in NT Pharma's inventory as of the effective date of such termination of this Agreement, and the Licensor hereby grants NT Pharma a non-exclusive license to sell and distribute such remaining labeled Product inventory in the Territory. For clarity, Product sold by NT Pharma or its Affiliates pursuant to this Clause 10.4(g) shall be subject to the payments under Clause 4 with respect thereto.
Inventory Sale. Pursuant to the terms of this ARTICLE III, CMI hereby sells, and LNGCo hereby purchases and agrees to pay for, CMI’s LNG inventory stored in the storage tanks at the Sabine Pass Terminal as of the Effective Date other than such inventory that is leased to Sabine (the “Inventory Quantity”). The Parties agree that the Inventory Quantity shall be evidenced by a Volume Statement Report (as defined below) from Sabine as of the Effective Date. Title and risk of loss to the Inventory Quantity shall pass from CMI to LNGCo in situ at 9:00 a.m. Houston, Texas time on the Effective Date. CMI shall request that Sabine provide a volume statement report reflecting the transfer of the Inventory Quantity from CMI to LNGCo
Inventory Sale. Sellers shall sell to Buyer and Buyer shall purchase directly from Sellers all Inventory. The sale of Inventory at the Real Properties shall be effective as of the Effective Time. Any such items which are owned by third parties shall be excluded from Inventory.

  • Inventory To the extent Inventory held for sale or lease has been produced by any Borrower, it has been and will be produced by such Borrower in accordance with the Federal Fair Labor Standards Act of 1938, as amended, and all rules, regulations and orders thereunder.

  • Inventories All of the Assets constituting inventory are owned or used by Company, are in good, current, standard and merchantable condition and are not obsolete or defective.

To the best of Borrower’s knowledge, all signatures and endorsements on all documents, instruments, and agreements relating to all Eligible Accounts are genuine, and all such documents, instruments and agreements are legally enforceable in accordance with their terms. (c) For any item of Inventory consisting of Eligible Inventory in any Transaction Report, such Inventory (i) consists of finished goods, in good, new, and salable condition, which is not perishable, returned, consigned, obsolete, not sellable, damaged, or defective, and is not comprised of demonstrative or custom inventory, works in progress, packaging or shipping materials, or supplies; (ii) meets all applicable governmental standards; (iii) has been manufactured in compliance with the Fair Labor Standards Act; (iv) is not subject to any Liens, except the first priority Liens granted or in favor of Bank under this Agreement or any of the other Loan Documents; and (v) is located at the locations identified by Borrower in the Perfection Certificate where it maintains Inventory (or any location permitted under Section 7.2).

  • Inventory and Supplies Administrator shall order, purchase and provide to the Group on a timely basis inventory and supplies, and such other ordinary, necessary or appropriate materials which are requested by the Group and which the Group shall reasonably determine to be necessary in the operation of the Practice on the same terms commercially available to Administrator. Such inventory, supplies and other materials shall be included in Practice Expenses at their cost to Parent or Administrator, as the case may be.

Without limiting the foregoing, each Pledgor shall be required to pledge hereunder any shares of stock at any time and from time to time after the date hereof acquired by such Pledgor of any Foreign Corporation, provided that (x) except as provided in Section 8.12 of the Credit Agreement, no Pledgor (to the extent that it is the Borrower or a Domestic Subsidiary of the Borrower) shall be required at any time to pledge hereunder more than 65% of the Voting Stock of any Foreign Corporation and (y) each Pledgor shall be required to pledge hereunder 100% of any Non-Voting Stock at any time and from time to time acquired by such Pledgor of any Foreign Corporation.
