Investigation and Proceedings. (a) DSI and Golden American agree to cooperate fully in insurance regulatory investigations or proceedings or judicial proceedings arising in connection with the offering, sale or distribution of Annuity Contracts distributed under this Agreement. DSI and Golden American further agree to cooperate fully in any securities regulatory investigation or proceeding or judicial proceeding with respect to Golden American, DSI, their affiliates and their agents or representatives to the extent that such investigation or proceedings is in connection with the Annuity Contracts offered, sold or distributed under this Agreement. Without limiting the forgoing:
Investigation and Proceedings. (a) Each party hereto shall advise the other promptly of (i) any action of the SEC or any authorities of any state or territory, of which it has knowledge, affecting registration or qualification of each Separate Account and the Contracts, or the right to offer the Contracts for sale, and (ii) the happenings of any event that makes untrue any statement or which requires the making of any change, in the registration statement or prospectus for the Contracts in order to make the statements therein not misleading.
Investigation and Proceedings. (a) DSI and ING USA agree to cooperate fully in insurance regulatory investigations or proceedings or judicial proceedings arising in connection with the offering, sale or distribution of Annuity Contracts distributed under this Agreement DSI and ING USA further agree to cooperate fully in any securities regulatory investigation or proceeding or judicial proceeding with respect to ING USA, DSI, their affiliates and their agents or representatives to the extent that such investigation or proceeding is in connection with the Annuity Contracts offered, sold or distributed under this Agreement Without limiting the foregoing
Investigation and Proceedings. (a) W&R and United Investors agree to cooperate fully in any insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Policies distributed under this Agreement. W&R and United Investors further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to United Investors, W&R their affiliates and their representatives to the extent that such inspection, inquiry, investigation or proceeding is in connection with Policies distributed under this Agreement. Without limiting the foregoing:
Investigation and Proceedings. PEN and Pacific Mutual agree to cooperate fully in any insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Contracts distributed under this Agreement. PEN further agrees to furnish regulatory authorities with any information or reports in connection with such services which may be requested in order to ascertain whether the operations of Pacific Mutual and the Separate Account are being conducted in a manner consistent with applicable laws and regulations. PEN and Pacific Mutual further agree to cooperate fully in any securities regulatory investigation or proceeding with respect to Pacific Mutual, PEN, their affiliates and their agents or representatives to the extent that such investigation or proceeding is in connection with Contracts distributed under this Agreement. Without limiting the foregoing:

(a) CBC and GELAAC agree to cooperate fully in any insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Contracts distributed under this Agreement. CBC and GELAAC further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to GELAAC or CBC to the extent that such inspection, inquiry, investigation or proceeding is in connection with the Contracts distributed under this Agreement. Without limiting the foregoing:
Investigation and Proceedings a. The Company, the Underwriter and the Wholesaler will cooperate fully in any securities, insurance, governmental or regulatory investigation or proceeding or judicial proceeding arising out of or in connection with the offering, sale or distribution of the Contracts for which the Wholesaler acts as wholesaler pursuant to this Agreement. Without limiting the foregoing, the Company, the Underwriter and the Wholesaler agree to notify one another promptly of any customer complaint or notice of any governmental, judicial or regulatory investigation or proceeding described in this Section 10.
Investigation and Proceedings. (a) CBC and Life of Virginia agree to cooperate fully in any insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Variable Contracts distributed under this Agreement. CBC and Life of Virginia further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to Life of Virginia or CBC to the extent that such inspection, inquiry, investigation or proceeding is in connection with the Variable Contracts distributed under this Agreement. Without limiting the foregoing:

The Company, Underwriter and Distributor will cooperate fully in any securities or insurance governmental or regulatory investigation or proceeding or judicial proceeding arising in connection with the offering, sale or distribution of the Contracts for which the Distributor acts as wholesaler pursuant to this Agreement. Without limiting the foregoing, the Company, Underwriter and Distributor agree to notify one another promptly of any customer complaint or notice of any governmental or regulatory investigation or proceeding or judicial proceeding received by any of them with respect to the Company, Underwriter, Distributor or any of their respective Associated Persons or that may affect the issuance of any Contract for which the Distributor acts as wholesaler pursuant to this Agreement.
Investigation and Proceedings. UNDERWRITER and COMPANION agree to cooperate fully in any customer complaint, insurance regulatory investigation or proceeding or judicial proceeding arising in connection with the Contracts distributed under this Agreement. UNDERWRITER and COMPANION further agree to cooperate fully in any securities regulatory inspection, inquiry, investigation or proceeding or any judicial proceeding with respect to UNDERWRITER, COMPANION, their affiliates and their Representatives to the extent that such inspection, inquiry, investigation or proceeding is in connection with Contracts distributed under this Agreement. Such cooperation shall include prompt notification to the other party of any customer complaint or notice of any regulatory inspection, inquiry, investigation or proceeding received in connection with any activity in connection with any such Contract.
