Investment Experience; Economic Risk. Such Investor understands that the Company has a limited financial and operating history and that an investment in the Company involves substantial risks. Such Investor represents to the Company that except as otherwise disclosed to the Company, in writing, prior to such Investor’s execution of this Agreement, such Investor is an “accredited investor” (within the meaning of Regulation D, Rule 501(a), promulgated by the Securities and Exchange Commission under the Securities Act) or such Investor is experienced in evaluating and investing in private placement transactions of securities of companies in a similar stage of development to that of the Company and acknowledges that such Investor is able to fend for himself, herself or itself. Such Investor has such knowledge and experience in financial and business matters that such Investor is capable of evaluating the merits and risks of the investment in the Securities. Such Investor can bear the economic risk of such Investor’s investment and is able, without impairing such Investor’s financial condition, to hold the Securities for an indefinite period of time and to suffer a complete loss of such Investor’s investment. If other than an individual, such Investor also represents that such Investor has not been organized for the purpose of acquiring the Securities.

Such Investor can bear the economic risk of such Investor’s investment and is able, without impairing such Investor’s financial condition, to hold the Securities for an indefinite period of time and to suffer a complete loss of such Investor’s investment.

The Purchaser is experienced in evaluating investments and acknowledges that the Purchaser is able to fend for himself. The Purchaser has such knowledge and experience in financial and business matters that the Purchaser is capable of evaluating the merits and risks of the investment in the Securities. The Purchaser can bear the economic risk of his investment and is able, without impairing his financial condition, to hold the Securities for an indefinite period of time and to suffer a complete loss of his investment.

The Holder is experienced in evaluating and investing in private placement transactions of securities of companies in a similar stage of development to that of the Company and acknowledges that the Holder is able to fend for itself. The Holder has such knowledge and experience in financial and business matters that the Holder is capable of evaluating the merits and risks of the investment in the Shares. The Holder can bear the economic risk of the Holder’s investment and is able, without impairing the Holder’s financial condition, to hold the Shares for an indefinite period of time and to suffer a complete loss of the Holder’s investment.
Investment Experience; Economic Risk. The Purchaser represents that he has experience in evaluating and investing in private placement transactions of securities in companies similar to the Company, so that he is capable of evaluating the merits and risks of his investment in the Company and has the capacity to protect his own interests. The Purchaser represents that he understands that the purchase of Sale Shares hereunder is a speculative investment which involves a high degree of risk of loss of the Purchaser's investment therein. The Purchaser represents that he is able to bear the economic risks of its investment in the Sale Shares for an indefinite period of time. The foregoing does not, however, limit or modify the representations and warranties of the Company set forth in Article III of this Agreement, or the right of the Purchaser to rely thereon.

The Company is experienced in evaluating and investing in private placement transactions of securities of companies in a similar stage of development to that of the Investor and acknowledges that the Company is able to fend for itself. The Company has such knowledge and experience in financial and business matters that the Company is capable of evaluating the merits and risks of the investment in the Investor Common Stock. The Company can bear the economic risk of the Company's investment and is able, without impairing the Company's financial condition, to hold the Investor Common Stock for an indefinite period of time and to suffer a complete loss of the Company's investment.
Investment Experience; Economic Risk. Each Seller has such knowledge and experience in financial and business matters that such Seller is capable of evaluating the merits and risks of its investment in the Buyer and has the capacity to protect his own interests. Each Seller is able to bear the economic risks of his investment in the Buyer Stock for and indefinite period of time, including the risks of a complete loss of such Seller's investment in such securities.
Investment Experience; Economic Risk. The Shareholder can properly evaluate the merits and risks of an investment in the Holdco Shares and can protect the Shareholder’s own interests in this regard, whether by reason of the Shareholder’s own business and financial expertise, the business and financial expertise of certain professional advisors unaffiliated with the Company with whom the Shareholder has consulted, or the Shareholder’s preexisting business or personal relationship with the Company or any of its officers, directors or controlling persons. The Shareholder realizes that the purchase of the Holdco Shares involves a high degree of risk, and that the Company’s future prospects are uncertain. The Shareholder is able to hold the Holdco Shares indefinitely if required, and is able to bear the loss of the Shareholder’s entire investment in the Holdco Shares.

Such Investor represents that it is experienced in evaluating and investing in private placement transactions of securities of companies in a similar stage of development as the Company and acknowledges that such Investor is able to fend for itself, can bear the economic risk of its investment, and has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the investment in the Shares. Such Investor understands that the purchase of the Shares hereunder is a speculative investment that involves a high degree of risk of such Investor’s entire investment therein. Such Investor is able to bear the economic risks of its investment in the Shares for an indefinite period of time, including the risks of a complete loss of such Investor’s investment in such securities. Such Investor also represents it has not been organized for the purpose of acquiring the Shares.

The Purchaser has such knowledge and experience in financial or business matters that the Purchaser is capable of evaluating the merits and risks of its investment in the Company and has the capacity to protect its own interests. The Purchaser is able to bear the economic risks of its investment in the Stock for an indefinite period of time, including the risks of a complete loss of the Purchaser's investment in such securities. The foregoing does not, however, limit or modify the representations and warranties of the Company set forth in Section 2 of this Agreement, or the right of the Purchaser to rely thereon.
