IPO Conversion Right. In connection with an IPO (regardless whether such IPO involves a Transfer described under this Section 9.4), each CBREI Investor will have the option to convert all (but not less than all) of its Interests into privately issued shares of the Issuer contemporaneously with the commencement of the IPO. The number of shares of the Issuer to be received would be equal to (i) the Fair Market Value of the Partnership, as determined by appraisal in accordance with Section 9.16, times (ii) such CBREI Investor’s Percentage Interest, divided by (iii) the price paid by investors for shares issued in the IPO. The shares received upon conversion would be subject to customary lock-out restrictions imposed by the underwriters in the IPO, provided that such restrictions shall not be more restrictive than those applied to the shares held by PECO-ARC or any Affiliate of PECO-ARC. Such option must be exercised upon the later of (i) 10 Business Days after determination of the Fair Market Value of the Partnership pursuant to Section 9.16, which determination pursuant to Section 9.16 shall be triggered by the Issuer’s filing of a registration statement relating to the IPO, and (ii) unless, PECO-ARC agrees to a later date, 30 days prior to the commencement of the IPO. For this purpose, the valuation of the Interests of the CBREI Investors will not be adjusted for any value attributable to termination of the Advisory Agreement or the Management Agreement or the internalization of management of the Partnership or any Property. PECO-ARC shall cause the issuer to enter into a single demand registration rights agreement with all such CBREI Investors, on customary terms (including mutual indemnities and piggy back registration rights) and providing for the issuer to use commercially reasonable efforts to register (upon the request of any CBREI Investor, but not more than one demand right for all such CBREI Investors) the resale of shares received by such CBREI Investors in an IPO under this Section 9.4 such that the shares may be resold upon the expiration of any lock-out period; provided that (i) such issuer shall be obligated to file only one registration statement covering the resale of all of the shares held by all of the CBREI Investors and (ii) such issuer need not take any action to maintain the effectiveness or accuracy of such registration statement for more than 90 days, unless the issuer is eligible to use Form S-3 for such registration, in which case the issuer shall use c...

IPO Conversion Right. Each Lender shall have a right (“IPO Conversion Right”) to convert all Outstanding Obligations due to such Lender into Conversion Payment Shares in connection with any IPO (a) at any time prior to the second anniversary of the Closing Date or (b) after the second anniversary of the Closing Date, during the period from, and including, the Business Day immediately following the end of the Alternative IPO Exercise Period to, and including, the date of the applicable IPO Notice Expiration. A Conversion shall be deemed to be “in connection with” an IPO if (i) the Conversion Notice Date occurs on or after the date Ultimate Holdings delivers an IPO Notice (the “IPO Notice Date”) and prior to the applicable IPO Notice Expiration and (ii) the applicable Notice of Conversion specifies “IPO Conversion Right” as the Conversion Right Election. Any exercise of an IPO Conversion Right shall be conditioned on the consummation of such IPO.

Upon Conversion of this Debenture, the Company shall take all such actions as are necessary in order to insure that the Common Stock issuable with respect to such conversion shall be validly issued, fully paid and nonassessable. The Company shall not close its books against the transfer of Common Stock issued or issuable upon conversion of this Debenture in any manner that interferes with the timely conversion of this Debenture. The Company shall assist and cooperate with any Holder of this Debenture required to make any governmental filings or obtain any governmental approval prior to or in connection with the conversion of this Debenture (including, without limitation, making any filings required to be made by the Company). The conversion rights of any Debenture subject to redemption hereunder shall terminate on the Redemption Date for such Debenture unless the Company has failed to pay to Holder thereof the Redemption Price of such Debenture or portion thereof.

  • Termination of Conversion Rights In the event of a liquidation, dissolution or winding up of the Corporation or a Deemed Liquidation Event, the Conversion Rights shall terminate at the close of business on the last full day preceding the date fixed for the payment of any such amounts distributable on such event to the holders of Preferred Stock.

If this Note is physically surrendered for conversion and the outstanding Principal of this Note is greater than the Principal portion of the Conversion Amount being converted, then the Company shall, upon request of the Holder, as soon as practicable and in no event later than three (3) Business Days after receipt of this Note and at its own expense, issue and deliver to the holder a new Note representing the outstanding Principal not converted. The Person or Persons entitled to receive the shares of Common Stock issuable upon a conversion of this Note shall be treated for all purposes as the record holder or holders of such shares of Common Stock upon the transmission of a Conversion Notice.

  • Conversion Option Subject to the provisions of this Agreement and except for Letters of Credit, the Borrower may convert the whole or any part of any type of Loan under a Credit Facility into any other type of permitted Loan under the same Credit Facility by giving the Agent, or, in the case of the Operating Facility, the Operating Lender (with a copy to the Agent), a Conversion Notice in accordance herewith; provided that:

The Notice of Mandatory Conversion shall specify the aggregate principal amount of the Note which is subject to Mandatory Conversion, which amount may not exceed in the aggregate, for all Holders who received Notes similar in term and tenure as this Note, the dollar volume of Common Stock traded on the Principal Market during the seven (7) trading days immediately preceding the Mandatory Conversion Date. Mandatory Conversion Notices must be given proportionately to all Holders of Notes who received Notes similar in term and tenure as this Note. The Borrower shall reduce the amount of Note principal and interest subject to a Notice of Mandatory Conversion by the amount of Note Principal and interest for which the Holder had delivered a Notice of Conversion to the Borrower during the twenty (20) trading days preceding the Mandatory Conversion Date. Each Mandatory Conversion Date shall be a deemed Conversion Date and the Borrower will be required to deliver the Common Stock issuable pursuant to a Mandatory Conversion Notice in the same manner and time period as described in Section 2.2 above.
