JOINT TRADE BOARD. 1. A Joint Trade Board consisting of a minimum of four (4) and no more than five (5) members designated by the District Council and a minimum of four (4) and no more than five (5) members designated by the Employers is hereby established. It is agreed to add equal portions along with any other Employer the Union may in the future recognize, all decisions shall be decided by a majority vote of all present, of which shall be final and binding to all parties to this Agreement. 2. The members shall designate one to act as Chairman and one as Secretary, provided that every twelve (12) months the Chairman and Secretary shall be alternated between the Contractor and Union members of the Board. Both parties shall designate alternates to attend Board meetings in the place of regular members who may be absent or against whom charges may be filed. Each organization shall choose its duties; and to demand of Employers who repeatedly violate this Agreement the posting of a cash or surety bond to assure future complianceown representatives.
6Section 3 - Meetings. No Board member shall sit as a Board member in any case involving themselves, directly or indirectly; and no Employer representative shall sit as a Board member in any case involving himself or herself or any of his or her employees, directly or indirectly.
7. Decisions, awards, or orders Bi-monthly meetings of the Joint Trade Board shall be final and bindingheld on the second Thursday of the month. Other meetings may be held from time to time on the call of the Co-Chairman or upon the request in writing of any four members of the Joint Trade Board. All members shall be notified of all special meetings through the Co-Chairman of the Joint Trade Board.
8Section 4 - Inspection - The Joint Trade Board may make a determination that an inspection of the records of a specific Employer, which relate to the performance of this Agreement, is necessary. Upon such determination being made, the said board shall instruct the Painting Industry Funds Office to conduct an audit as outlined in Article IV, Section 10 (a) of this agreement.
(a) Each Employer agrees to permit an examination of such books, records, papers or reports of the Employer as may be necessary in the discretion of the auditor, to determine whether the Employer is making full and prompt payment of all sums required to be paid to the Funds. The Board examination shall maintain full and complete records and minutes of its proceedings which records and minutes may be inspected at reasonable times performed by an auditor or agent designated by the parties representative of the Funds. If, as a result of said examination, a deficiency or more in payments to this Agreement when requesteda Fund is discovered, the Funds may assess their costs in performing the examination to the Employer and said cost shall be collectible as any other amount due from the Employer to the Funds.

JOINT TRADE BOARD. 1. A (A) The Joint Trade Board consisting (hereinafter called the “Board”) shall be constituted and shall consist of not less than one (1) representative chosen by the Association in a manner to be determined by it and not less than one (1) representative chosen by Local Union No. 806 in a manner determined by it.
(B) The Board shall meet at any convenient time after the service of a minimum Notice of four (4) and no more than five (5) members designated Intention to Arbitrate by the District Council complaining party upon the responding party. Such notice shall be in writing and shall set forth the grievance to be heard by the Board and a minimum copy of four such notice shall be forwarded to all parties named in the notice.
(4C) The Board shall be empowered to consider and no more than five decide all questions and disputes arising under this Agreement except for matters involving trust fund contributions. A quorum of the Board shall consist of two (52) members designated by members. When voting on a question, complaint or finding, the Employers is hereby establishedand the Union shall each have one (1) vote and these votes shall be equal regardless of the number of representatives present and voting. All decisions of the Board shall be made in writing and copies thereof mailed to all interested parties within forty-eight (48) hours after the hearing before the Board, unless the Board shall extend such period. In the event the charging party fails to appear before the Board the complaint shall be dismissed. In the event the party charged fails to appear before the Board, the Board shall proceed in that party’s absence.
(D) The Joint Trade Board shall have the power to summon before it and to question and examine any Employer or Union member. It is agreed shall have the power to add equal portions along with any require production of books, papers or other Employer evidence it may deem necessary.

The fees of the arbitrator shall be borne by the non- prevailing party.
8(G) All penalties derived from the Joint Trade Board, less the reasonable administrative cost of expenses actually incurred, shall be used to advance the industry; to sponsor educational programs for the members of Local Union No. The Board 806 and children within the trade and to aid and assist in the establishment of programs to increase business activity within the industry and develop and maintain maximum job opportunities for those union employees within the City of New York.
(H) Findings and decisions shall maintain full be transmitted to the Employer and complete records to Local Union No. 806 and minutes of its proceedings which records each obligate itself to enforce such findings and minutes decisions as the case may be inspected at reasonable times by the parties to this Agreement when requestedbe.

3. Both parties Four (4) shall designate alternates to attend Board meetings in the place of regular members who may be absent or against whom charges may be filed. Not less than constitute a quorum, two (2) members (or their alternates) from for each group must be present to constitute a quorum. Each member (or alternate) present side, and neither shall be entitled to one vote, but in no event shall the members from one group cast more votes ballots than those from the other. Members of the Board shall serve at the pleasure of the party making the designation. It shall be the duty of the parties to fill vacancies within five (5) days after they occur.
3. The Board shall meet on the second Thursday every month or any other times as designated by the Chairman and Secretary. The Board shall hold special meetings at the request of any member, within seven (7) working days of written notification.
4. The duties vote on all questions of the Board shall include the processing, investigation and determination of grievances, disputes and alleged violations of the Agreementthis Agreement shall be by secret ballot.
5. It shall require a majority vote to carry any question.
6. The Joint Trade Board is empowered to hear shall consider and decide all grievances and disputes which arise between the parties as to the interpretation or application an alleged violation of this Agreement; Agreement on the part of any Signator, after said Signator has been notified in writing by the Secretary of the Joint Trade Board, and given the right to award or assess remediesappear at the called meeting, damages to present his case, and penalties for violations of this Agreement; agrees to issue interpretative rulings or other rules and regulations as it deems necessary to give force and effect to abide by the purpose and intent of this Agreement; to investigate all grievances and disputes submitted to it, including the conducting of audits of Employer records; to recommend amendments to or changes in this Agreement, but only upon request of both parties; to appoint such persons or committees as may be necessary to aid the Board in the performance of its duties; and to demand of Employers who repeatedly violate this Agreement the posting of a cash or surety bond to assure future compliance.
6. No Board member shall sit as a Board member in any case involving themselves, directly or indirectly; and no Employer representative shall sit as a Board member in any case involving himself or herself or any of his or her employees, directly or indirectlydecision rendered.
7. Decisions, awards, The Joint Trade Board shall have the power to censure and/or to impose reasonable fines or orders penalties where agreed to vote by majority (as above provided for) that any of the articles of this Agreement have been violated. Such fines or penalties shall be imposed against said violator and the Joint Trade Board shall see that any fines or penalties so imposed are satisfied and the disposition of monies so collected shall be final and binding.
8. The Board shall maintain full and complete records and minutes of its proceedings which records and minutes may be inspected at reasonable times decided by the parties to this Agreement when requestedJoint Trade Board.
