Jurisdiction for Enforcement. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The parties hereby consent to the jurisdiction of such courts for the purpose of enforcing the arbitration award.
Jurisdiction for Enforcement. Following the Effective Date, the State Court, in the State Foreclosure Action, shall have and retain full jurisdiction over the parties to enforce this Agreement and the automatic stay of Section 362 of the Bankruptcy Code, and any injunctive provisions of any confirmed plan of reorganization in the Bankruptcy Proceedings, shall be, and shall be deemed to be, terminated for said purpose.
Jurisdiction for Enforcement. The Borrower submits and irrevocably consents to the nonexclusive jurisdiction of any appropriate court in the State of Georgia in the event that any action, suit, or proceeding arises out of or is brought to enforce the provisions of this Certificate. The Borrower irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the jurisdiction of the appropriate court in the State of Georgia over the action, suit, or proceeding. The Borrower also hereby submits to the non-exclusive jurisdiction of the competent federal courts of the United States of America, with venue laid solely in the Northern District of Georgia, for any and all actions, suits, or proceedings arising out of or relating to this Certificate. The Borrower, by its execution hereof, and the Lender, by its acceptance of the benefits hereof, acknowledge that:
(a) it has participated in the negotiation of Loan Documents, and no provision of the Loan Documents shall be construed against or interpreted to the disadvantage of any party hereto or thereto by any court or other governmental or judicial authority by reason of such party having or being deemed to have structured, dictated or drafted such provision;
(b) each such party at all times has had access to an attorney in the negotiation of the terms of and in the preparation and execution of the Loan Documents and such parties have had the opportunity to review and analyze the Loan Documents for a sufficient period of time prior to the execution and delivery hereof;
(c) no representations or warranties have been made by or on behalf of any party hereto or thereto, or relied upon by the Borrower, pertaining to the subject matter of the Loan Documents, other than those that are set forth in the Loan Documents or in this Certificate, and all prior statements, representations and warranties, if any, are totally superseded and merged into the Loan Documents, which represent the final and sole agreement of the parties with respect to the matters which are the subject hereof and thereof;
(d) all of the terms of this Certificate and the Loan Documents were negotiated at arm's-length, and that this Certificate and the Loan Documents were prepared and executed without fraud, duress, undue influence or coercion of any kind by any of the parties upon the others; and
(e) the execution and delivery of this Certificate and the Loan Documents to which the Borrower is a party is the free and voluntary act of the...
Jurisdiction for Enforcement. The parties intend to and do hereby confer jurisdiction to enforce the covenants contained in this Agreement upon the courts of any state of the United States and any other governmental jurisdiction within the geographical scope of such covenants. If the courts of any one or more of such states or jurisdictions shall hold such covenants unenforceable by reason of the breadth of such scope or otherwise, it is the intention of the parties hereto that such determination shall not bar or in any way affect Buyer's right to the relief provided above in the courts of any other state or jurisdiction within the geographical scope of such covenants, as to breaches of such covenants in such other respective states or jurisdictions, the above covenants as they relate to each state or jurisdiction being, for this purpose, severable into diverse and independent covenants.
Jurisdiction for Enforcement. The parties irrevocably (a) agree and consent that the New York State Supreme Court in Washington County, New York shall have jurisdiction over the parties to enforce this Agreement and shall have exclusive jurisdiction in any actions arising out of or relating to this Agreement; and (b) waive any other venue to which any party might be entitled by domicile or otherwise.
