L imited Set-Off. To the extent that the cash and/or Common Shares referred to in Section 6(a) or 6(b) above are not paid to or delivered to the Corporation, as applicable, the Corporation may set off the value of such remaining amount so payable to it against any amounts that may be owing from time to time by the Corporation to the CEO, whether as wages, deferred compensation or vacation pay or in the form of any other benefit or for any other reason, but only to the extent that such amounts would not be considered “nonqualified deferred compensation” within the meaning of Section 409A of the Internal Revenue Code.
