Common use of Labor Disputes and Acts of God Clause in Contracts

Labor Disputes and Acts of God. Neither the business nor the properties of each of Borrower and each Project Company or, to the knowledge of Borrower, any of the other Major Project Participants are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that could be reasonably expected to have a Material Adverse Effect.

Labor Disputes and Acts of God. Neither the business nor the properties of each of Borrower and each Project Company orany Loan Party, nor, to the knowledge of Borrowerthe Company, any of the other Major Project Participants are Participant is affected by any fire, explosion, accident, strike, lockout or other labor disputedispute (except as set forth in Exhibit R-2 as in effect on the Closing Date), drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance)event of force majeure, that could reasonably be reasonably expected to have a Material Adverse Effect.

Neither the business nor the properties of each of Borrower and each Project Company or, to the knowledge of Borrower's knowledge, any of the other Major Project Participants Participant are currently affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse Effect.

Neither the business nor the properties of each any of Borrower and each the Project Company Companies or, to the knowledge of Borrower's, each Guarantor's and each Non-Guarantor's knowledge, any of the other Major Project Participants Participant are currently affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse Effect.

Neither the business nor the properties of each of Borrower and each Project Company any Portfolio Entity, the Member, Calpine, or, to the best knowledge of Borrower, any of the other Major Project Participants Participant or Turbine Purchase Contractor are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse EffectEffect on any Initial Project, Funded Subsequent Project or Borrower.

Neither the business nor the properties of each of Borrower and each Project Company Borrower, any Partner, any Shareholder, or, to the best knowledge of Borrower, any of the other Major Project Participants Participant are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse Effect.

Neither the business nor the properties of each of Borrower and each Project Company Borrower, any Partner, Calpine, or, to the best knowledge of Borrower, any of the other Major Project Participants Participant are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse EffectEffect on any Initial Project or Funded Subsequent Project or Borrower.

Neither the business nor the properties of each of Borrower and each Project Company any Portfolio Entity, any Partner, Calpine, or, to the best knowledge of Borrower, any of the other Major Project Participants Participant or Turbine Purchase Contractor are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Material Adverse EffectEffect on any Funded Project or Borrower.

Labor Disputes and Acts of God. Neither the business nor the properties of each of Borrower and each Project Company any Noble Entity or, to the knowledge Knowledge of Borrower, any of the other Major Project Participants (with respect to their activities or interests with respect to the Projects) are adversely affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), in each case, that could would be reasonably expected to have constitute a Material Adverse Effect.

Labor Disputes and Acts of God. Neither the business nor the properties of each of Borrower and each Project Company Borrower, the Member, any Affiliate Pledgor or NRG Energy, or, to the best knowledge of Borrower, any of the other Major Project Participants Participant are affected by any fire, explosion, accident, strike, lockout or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy, or other casualty (whether or not covered by insurance), that which could reasonably be reasonably expected to have a Borrower Material Adverse Effect.
