Landlord Consents and Estoppels; Recorded Leasehold Interests. In the case of each Closing Date Mortgaged Property consisting of a Leasehold Property, (a) a Landlord Consent and Estoppel with respect thereto and (b) evidence that such Leasehold Property is a Recorded Leasehold Interest;

In the case of each Additional Mortgaged Property located in the United States of America and consisting of a Ground Leasehold Interest, (a) a Landlord Consent and Estoppel with respect thereto (to the extent such Loan Party can obtain same using its commercially reasonable efforts) and (b) evidence that such Ground Leasehold Interest is a Recorded Leasehold Interest;

In the case of each Post-Closing Date Mortgaged Property consisting of a Leasehold Property (a) a Landlord Consent and Estoppel with respect thereto and (b) evidence that such Leasehold Property is a Recorded Leasehold Interest, provided, however, in each case, Company and each applicable Subsidiary Guarantor shall be required to use its best efforts to obtain such Landlord Consent and Estoppel and evidence and provided, further, if such Landlord Consent and Estoppel can not be obtained despite Company's or the applicable Subsidiary Guarantor's best efforts, Company or the applicable Subsidiary Guarantor, shall not be required to deliver a Post-Closing Date Mortgage with respect thereto if the encumbrancing of such Leasehold Property requires the consent of any applicable lessor or then-existing senior lienholder;

In the case of each Existing Mortgaged Property, other than with respect to the Existing Mortgaged Property related to the Xxxx Gaming Facilities, consisting of a Material Leasehold Property, (a) a Landlord Consent and Estoppel with respect thereto (or, in the case of any Material Leasehold Property for which a Landlord Consent and Estoppel was delivered to Resigning Administrative Agent prior to the Restatement Effective Date, a written notice in form and substance satisfactory to Administrative Agent executed by the applicable Loan Party and by Resigning Administrative Agent notifying the applicable lessor of (x) the resignation of Resigning Administrative Agent and the appointment of Administrative Agent as successor administrative agent under this Agreement and the other Loan Documents and (y) the effectiveness of the Second Amendment); and (b) evidence that such Material Leasehold Property is a Recorded Leasehold Interest;
