Landlord Lien Waivers. The Lessor shall execute, at Lessee’s request, one or more Landlord Lien Waiver forms in favor of Lessee’s lenders in a form reasonably acceptable to such lenders and acceptable to Lessor and Lessor's lender.
Landlord Lien Waivers. Use commercially reasonable efforts to obtain landlord waivers in form and substance reasonably satisfactory to the Administrative Agent on each real property leased by any Loan Party if (x) such leased real property is a Loan Party’s headquarters location or (y) personal property Collateral having a value in excess of $500,000 is located on such leased real property.
Landlord Lien Waivers. The Credit Parties shall use commercially reasonable efforts to obtain landlord lien waivers, in form and substance reasonably satisfactory to the Administrative Agent, for (i) each distribution center leased by any Loan Party (for purposes hereof, a distribution center is any location leased by a Loan Party with more than 100,000 square feet) and (ii) for any other location leased by a Loan Party if requested by the Administrative Agent.
Landlord Lien Waivers. Borrower shall use best efforts to obtain a Landlord Lien Waiver in form and substance acceptable to Lender for Borrower’s Florida location(s). Lender may, from time to time, request reasonable evidence of such efforts.
Landlord Lien Waivers. The Company shall, and shall cause each of its applicable Subsidiaries to, use commercial best efforts to obtain within 60 days after the Closing Date agreements from the respective landlords of such of the Real Property in the United States and Canada, as applicable, that is being leased by such Credit Party and on which inventory or equipment of such Credit Party is maintained confirming that such landlords have subordinated their landlord liens on such Credit Party's personal property to the security interests held by the Collateral Agent pursuant to the applicable Security Documents and that such landlords will provide the Collateral Agent with reasonable access to such facilities to exercise the Collateral Agent's remedies pursuant to such applicable Security Documents.
Landlord Lien Waivers. With respect to each Leased Property, Borrower shall use its reasonable best efforts to deliver to the Administrative Agent (i) to the extent reasonably requested by the Administrative Agent, a landlord lien waiver and access agreement substantially in the form of Exhibit K or Bailee Letter, with such changes as shall be reasonably acceptable to the Administrative Agent and (ii) to the extent requested by the Administrative Agent, copies of leases in which a Credit Party holds any interest.
Landlord Lien Waivers. In the event that any portion of any Borrowing or Letter of Credit issuance is for the purpose of establishing and equipping a new PETNet production and distribution center, or equipping an existing PETNet location, PETNet shall obtain and deliver to the Administrative Agent prior to such Borrowing or issuance of such Letter of Credit a lien waiver from the landlord of the new or existing location waiving any rights of the landlord in and to all assets at such location, with the landlord lien waiver being in form and substance acceptable to the Administrative Agent.
Landlord Lien Waivers. Subject to Article 9 below, within a reasonable --------------------- --------- period of time after receipt of written request therefor from a lender and/or a vendor under a conditional sales agreement or other agreement requiring a security interest in any furniture, trade fixtures or equipment installed or to be installed in the Premises, Landlord shall execute a commercially reasonable form of landlord lien waiver agreement which shall assure the vendor of the seniority of the vendor's lien claim relative to such furniture, trade fixtures and equipment in relation to Landlord's interest therein; such agreement shall permit the removal of such affected furniture, fixtures and equipment at any time during the Lease Term upon prior written notice to Landlord and shall require such vendor to repair any damage resulting from such removal.
Landlord Lien Waivers. The Loan Parties shall use commercially reasonable efforts to obtain landlord lien waivers, in form and substance reasonably satisfactory to the Administrative Agent, for each location leased by a Loan Party if requested by the Administrative Agent.
Landlord Lien Waivers. The Administrative Agent shall have received landlord waivers with respect to material leased locations of the Borrowers located in Kentucky, Minnesota, South Dakota and Virginia in form and substance satisfactory to the Administrative Agent.
