Landlord may transfer its Rights and Obligations. 7.6.1 The Landlord is entitled to transfer (whether by an assignment or novation) its rights and obligations under this Agreement. 7.6.2 Upon such transfer, the Tenant shall be deemed to have consented to any such transfer, and shall accept the transferee as his new landlord and release the Landlord from all its obligations under this Agreement, particularly the Landlord’s obligation to refund the security deposit and any other sums under this Agreement. If required by the Landlord, the Tenant shall become a party to, and execute any agreement with the Landlord and its transferee relating to the transfer, and the agreement will be prepared by, and at the cost and expense of, the Landlord.

  • Rights and Obligations Except as expressly set forth in this Agreement, no Member, in its capacity as a Member, will have any right, power or authority to transact any business in the name of the Series, participate in the management of the Series or to act for or on behalf of or to bind the Series. A Member will have no rights other than those specifically provided herein or granted by law. Except as required by the Act, no Member, solely by reason of being a member, shall be liable for the debts, liabilities, obligations or expenses of the Series.
