Common use of Law and Language Clause in Contracts

Law and Language. 21.1 The validity, construction, interpretation and enforcement of this Agreement shall be governed by the laws of Hong Kong and the parties consent to the non-exclusive jurisdiction of the courts of Hong Kong in connection with any suit, action or proceed- ing arising out of or in connection with this Agreement, provided that nothing contained in this Clause 21.1 shall preclude the commencement of proceedings in any other court of competent jurisdiction. 21.2 Each of the clauses and provisions of this Agreement is severable and distinct from the others and if at any time one or more of such clauses or provisions is/are or become(s) invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining clauses and provisions hereof shall not in any way be affected or impaired thereby. 21.3 This Agreement shall be binding on the heirs, personal representatives, successors and assigns of the Cardholder. 21.4 The Chinese version of this Agreement is for reference only and if there is any conflict or discrepancy between the English and Chinese versions, the English version shall prevail.
