Common use of Lawful Assignment Clause in Contracts

Lawful Assignment. No Contract was originated in or is subject to the laws of any jurisdiction whose laws would make the sale, transfer and assignment of the Contract under this Agreement or under the Sale and Servicing Agreement or the pledge of the Contract under the Indenture unlawful, void or voidable.

Lawful Assignment. No Contract was originated in or is subject to the laws of any jurisdiction whose laws would make the sale, transfer and assignment of the Contract under this the Transfer and Sale Agreement or under the Sale and Servicing Agreement or the pledge of the Contract under the Indenture unlawful, void or voidable.

No Purchased Contract was originated in in, or is shall be subject to the laws of any jurisdiction whose laws would make under which the sale, transfer and assignment of the such Purchased Contract under this Agreement hereunder or under the Sale and Servicing Agreement Operative Documents or the pledge of the Contract thereof under the Indenture Security Agreement is unlawful, void or voidable.

The Borrower has not entered into any agreement with any account debtor that prohibits, restricts or conditions the Indenture unlawful, void or voidableassignment of any portion of the Contracts.

The Borrower has not entered into any agreement with any account debtor that prohibits, restricts or conditions the Indenture unlawful, void or voidableassignment of any portion of the Contracts.

Seller/Servicer has not entered into any agreement with any Obligor that prohibits, restricts or conditions the assignment of any portion of the Contracts.

Lawful Assignment. No Purchased Contract was originated in in, or is shall be subject to the laws of any jurisdiction whose laws would make under which the sale, transfer and assignment of the such Purchased Contract under this Agreement hereunder or under the Sale and Servicing Agreement Operative Documents or the pledge of the Contract thereof under the Indenture Triple-A One Security Agreement is unlawful, void or voidable.
