Legal and Other Costs. In the event that any party defaults in its obligations under this Agreement and, as a result thereof, another party seeks to legally enforce its rights hereunder against the defaulting party, then, in addition to all damages and other remedies to which the non-defaulting party is entitled by reason of such default, the defaulting party shall be liable for and shall promptly pay to the non-defaulting party an amount equal to all costs and expenses (including reasonable attorneys' fees) paid or incurred by the non-defaulting party in connection with such enforcement.

(b) In the event that the Non-Defaulting Party is entitled to receive an amount of money by reason of the Defaulting Party's default hereunder, then, in addition to such amount of money, the Defaulting Party shall promptly pay to the Non-Defaulting Party a sum equal to interest on such amount of money accruing at the rate of 1% per month (but if such rate is not permitted under the laws of the State of Colorado, then at the highest rate which is permitted to be paid under the laws of the State of Colorado) during the period between the date such payment should have been made hereunder and the date of the actual payment thereof.

Legal and Other Costs. Each Party must bear its own legal costs in connection with the preparation, negotiation, execution and completion of this Deed.

Vendor and Purchaser shall bear its own fees and expenses in connection with the preparation for and completion of the transactions contemplated hereby, including, but not limited, to all fees and expenses of agents, brokers, investment bankers, advisers, representatives, counsels and accountants, and Vendor shall not, directly or indirectly, charge the Company, or otherwise seek reimbursement from the Company, for said fees and expenses.

Legal and Other Costs. The Borrower shall pay to the Banks on demand:
11.3.1. all costs and expenses (including legal fees for external counsel and out-of-pocket expenses) incurred by the Banks in connection with: (i) the performance of all legal due diligence inquiries as the Banks have required or shall require with respect to the Project and the proposed transactions in connection therewith; (ii) the negotiation, preparation and execution of this Agreement and the other Finance Documents and the completion of the transactions herein contemplated; and (iii) assignment or participation pursuant to clause 25 below; all subject, with respect to legal fees, to such limits and/or tariffs as have been or may be agreed, from time to time, between the Banks and the Borrower in writing;
11.3.2. all expenses (including legal fees and out-of-pocket expenses) incurred by the Banks (or any of them) in contemplation of, or otherwise in connection with, the enforcement of, or preservation of any rights under, this Agreement or any of the other Finance Documents or otherwise in respect of the moneys owing under this Agreement, together with Interest at the rate referred to in clause 18 below from the date on which the payment of such expenses was demanded by the Banks until the date of payment (after as well as before judgment).
