Common use of Lessor Election Clause in Contracts

Lessor Election. Lessor shall have until the later of (a) ten (10) business days after the Lessee Offer Date, and (b) five (5) business days after the date Lessee grants Lessor access to the Property for its walk-through, to elect in writing (in its sole discretion) whether to purchase the Leasehold Interest on the terms and conditions set forth in the Lessee Offer by delivery of its response in substantially the form attached as Schedule 2.4 (the “Lessor ROFO Response”). Lessee shall promptly acknowledge receipt of the Lessor ROFO Response and return a copy to Lessor. A/75462098.5
