Liability of the Member and Directors. (a) Except as otherwise provided by the Act or herein, the debts, obligations and liabilities of the Company, whether arising in contract, tort or otherwise, shall be solely the debts, obligations and liabilities of the Company, and the Member shall not be obligated personally for any such debt, obligation or liability of the Company solely by reason of being a member of the Company.

Liability of the Member and Directors. Except as otherwise required by the LLC Act, no Member or Director or Officer of BOX Options, solely by reason of being a Member or Director or Officer of BOX Options, shall be liable, under a judgment, decree or order of a court, or in any other manner, for a debt, obligation or liability of BOX Options, whether arising in contract, tort or otherwise, or for the acts or omissions of any other Member or Director or Officer of BOX Options. The failure of BOX Options to observe any formalities or requirements relating to the exercise of its powers or management of its business or affairs under this Agreement or the LLC Act shall not be grounds for imposing liability on any Member or Director or Officer of BOX Options for liabilities of BOX Options.
