Liability of the Member and Directors. (a) Except as otherwise provided by the Act or herein, the debts, obligations and liabilities of the Company, whether arising in contract, tort or otherwise, shall be solely the debts, obligations and liabilities of the Company, and the Member shall not be obligated personally for any such debt, obligation or liability of the Company solely by reason of being a member of the Company. (b) Neither the Member, or the managers, or any officers, directors, shareholders, partners, employees, representatives or agents of any of the foregoing, nor any officer, employee, representative or agent of the Company or any of its affiliates (individually, a “Covered Person” and, collectively, the “Covered Persons”), shall be liable to the Company for any loss, liability, damage or claim incurred by reason of any act or omission performed or omitted by such Covered Person in good faith on behalf of the Company, except that a Covered Person shall be liable for any loss, liability, damage or claim incurred by reason of such Covered Person’s gross negligence or willful misconduct.

Liability of the Member and Directors. Except as otherwise required by the LLC Act, no Member or Director or Officer of BOX Options, solely by reason of being a Member or Director or Officer of BOX Options, shall be liable, under a judgment, decree or order of a court, or in any other manner, for a debt, obligation or liability of BOX Options, whether arising in contract, tort or otherwise, or for the acts or omissions of any other Member or Director or Officer of BOX Options. The failure of BOX Options to observe any formalities or requirements relating to the exercise of its powers or management of its business or affairs under this Agreement or the LLC Act shall not be grounds for imposing liability on any Member or Director or Officer of BOX Options for liabilities of BOX Options.
