Licensee’s Obligations and Representations. Licensee agrees to not engage in deceptive, misleading or unethical practices or make representations that are or might be detrimental to or disparage DACSLABS, the Licensed Technology, or the public. Licensee agrees to reasonably cooperate, assist, and otherwise collaborate with DACSLABS during the Term in connection with DACSLABS’ performance of its obligations hereunder, including the integration of the Licensed Technology with respect to the Authorized Products.

Licensee’s Obligations and Representations. A. Licensee represents that it has the financial resources and business operations that will enable it to reasonably commercialize the Licensed Technologies. Licensee further agrees that it will, in good faith and with reasonable diligence, conduct all operations incorporating the Licensed Technologies in accordance with the highest standards of business customs of the industry and that it will endeavor to utilize its skill and resources in such effort to the extent that high standards of business practice and judgment dictate.
