The Company possesses and is in material compliance with all material licenses and required governmental approvals, permits or authorizations necessary for the conduct of its business. The transfer of Seller's shares in accordance with the terms of this Agreement will not constitute a prohibited assignment or transfer of any of its licenses, leases, or contracts, and all of the foregoing will remain in full force and effect without acceleration as a result of the transfer.
