Limitation on Liability of General Partners, Indemnification. To the fullest extent permitted by the Partnership Law, the General Partner shall have no liability,responsibility, or accountability, in damages or otherwise, to any other Partner or the Partnership, and the Partnership agrees to indemnify, pay, protect, and hold harmless the General Partner (on the demand of and to the satisfaction of such General Partner) from and against, any and all liabilities, obligations, losses, damage, penalties, actions, judgments, suits, proceedings, costs, expenses, and disbursements, of any kind or nature whatsoever (including, without limitation, all costs and expenses of defense, appeal, and settlement of any and all suits, actions, or proceedings, instituted against any such General Partner or the Partnership and all costs of investigation in connection therewith) (“Losses “) which may be imposed on, incurred by, or asserted against any such General Partner or the Partnership in any way relating to or arising out of, or alleged to relate to or arise out of, any action or inaction on the part of the Partnership or on the part of any such General Partner as General Partner of the Partnership; provided that the General Partner shall be liable, responsible, and accountable, and the Partnership shall not be liable to the General Partner, for any portion of such Losses resulting from the General Partner’s gross negligence or a willful breach of General Pa1iner’s fiduciary duty to the Partnership or any Partner. If any action, suit, or proceeding shall be pending or threatened against the Partnership or the General Partner relatingto or arising out of, or alleged to relate to or arise out of, any such action or non-action, the General Partner shall have the right to employ, at the expense of the Partnership, separate counsel of theGeneral Partner’s choice in such action, suit or proceeding. The satisfaction of the obligations ofthe Partnership under this Section shall be from and limited to the assets of the Partnership and no Partner shall have any personal liability on account thereof. Limitation on Liability of General Partners, Indemnification. None of the General Partners shall be liable, responsible or accountable in damages or otherwise to any of the Limited Partners for any act or omission performed or omitted by them in good faith pursuant to the authority granted to them by this Agreement and in a manner reasonably believed by them to be within the scope of the authority granted to them by this Agreement and in the best interests of the Partnership, provided that such General Partner was not guilty of fraud, bad faith or negligence (gross or otherwise). The Partnership shall indemnify and save harmless the General Partners against any loss or damage incurred by them on behalf of the Partnership or in furtherance of the Partnership's interests without relieving the General Partners of liability for fraud, bad faith, negligence (gross or otherwise) or other breach of fiduciary duty. The satisfaction of any indemnification and any saving harmless shall be from and limited to Partnership assets, and no Limited Partner shall have any personal liability on account thereof.
Limitation on Liability of General Partners, Indemnification. The General Partners shall not be liable, responsible, or accountable in damages or otherwise to the Partnership or any of the Limited Partners for any act or omission pursuant to the authority granted by this Agreement if the General Partners acted in good faith and in a manner they reasonably believed to be within the scope of the authority granted by this Agreement and in or not opposed to the best interest of the Partnership, provided that the General Partners shall not be relieved of liability in respect of any claim, issue, or matter arising out of the negligence, fraud, bad faith, or misconduct of the General Partners in the performance of their duties to the Limited Partners. Subject to this limitation, the Partnership shall indemnify the General Partners against any loss or damage incurred by them and against expenses (including attorneys' fees) actually and reasonably incurred by them in connection with the defense or settlement of any threatened, pending, or completed action or suit by any Limited Partner in connection therewith. Indemnification will be allowed for: (1) settlement (and expenses related thereto) of lawsuits which allege violation of state or federal securities laws; and (2) the expenses incurred in defending such lawsuits, if the General Partners and/or the Partnership are successful in the defense, provided a court, having been informed in writing of the fact that the Securities and Exchange Commission has determined that indemnification for securities law violations is against public policy and is unenforceable, (a) approves the settlement and finds that indemnification of the settlement costs (and related expenses) should be made, or (b) approves indemnification of litigation costs if a successful defense has been made. Funds may be advanced by the Partnership to cover expenses for which indemnification may be allowed, subject to the obligation of the indemnified party to return these funds to the Partnership should any of the conditions to indemnification hereunder not be satisfied. Any indemnification of the General Partners under this Section 5.7 shall be recoverable only out of the assets of the Partnership and not from the Limited Partners.

  • Indemnification and Limitation on Liability 1. Seller agrees to indemnify and hold harmless JPMS and its directors, officers, employees and affiliates from and against all claims, losses, damages and liabilities (including without limitation, any legal or other expenses reasonably incurred in connection with defending or investigating any such action or claim) arising out of or attributable to JPMS’s actions taken or not taken in compliance with this Sales Plan or arising out of or attributable to any breach by Seller of this Sales Plan (including Seller’s representations and warranties hereunder) or any violation by Seller of applicable laws or regulations. This indemnification shall survive termination of this Sales Plan. Notwithstanding the foregoing, Seller shall have no indemnification obligation to the extent any claims, losses, damages or liabilities are due to the gross negligence, recklessness or willful misconduct of JPMS or any other indemnified person.

  • Limitation on Liability; Indemnification (a) Rise assumes no responsibility under this Agreement other than to render the services called for hereunder in good faith.   • Limitation on Liability The Company and the Underwriters agree that it would not be just and equitable if contribution pursuant to this Section 7 were determined by pro rata allocation (even if the Underwriters were treated as one entity for such purpose) or by any other method of allocation that does not take account of the equitable considerations referred to in paragraph (d) above. The Underwriters’ obligations to contribute pursuant to this Section 7 are several in proportion to their respective purchase obligations hereunder and not joint.
