Other than as described on Schedule 9.11, create or otherwise cause or suffer to exist or become effective any consensual encumbrance or restriction on the ability of any Consolidated Company to (i) pay dividends or make any other distributions on such Consolidated Company's stock, or (ii) pay any Indebtedness owed to any Credit Party or any other Consolidated Company, or (iii) transfer any of its property or assets to any Credit Party or any other Consolidated Company, except any consensual encumbrance or restriction existing under the Credit Documents or the Subordinated Note Documents.

DAP will not, and will not permit any Subsidiary to, create or otherwise cause or suffer to exist or become effective, any consensual encumbrance or restriction on the ability of any Consolidated Company to (i) pay dividends or make any other distributions on such Consolidated Company's stock, or (ii) pay any indebtedness owed to DAP or any other Consolidated Company, or (iii) transfer any of its property or assets to DAP or any other Consolidated Company, except any consensual encumbrance or restriction existing under the Operative Documents or any equivalent consensual encumbrance or restriction under any indenture, loan or credit agreement, debenture, note or other document evidencing or governing any Consolidated Funded Debt.

Notwithstanding any of the foregoing, the ability of any Class II Restricted Subsidiary to make Restricted Payments may be subject to encumbrances and restrictions imposed by agreements or instruments relating to any Non-Recourse Debt of such Class II Restricted Subsidiary.
