LISTING OF THE DEBENTURES. 2.15.1 The Issuer shall, promptly after allotment of the Debentures but in any event no later than 4 (Four) trading days from the issue closure date, procure that the Debentures are listed on the wholesale debt market segment of the Stock Exchange. 2.15.2 All costs, expenses and charges incurred in connection with the listing of the Debentures from time to time shall be borne and promptly paid by the Issuer. 2.15.3 The Issuer undertakes that it shall strictly comply with, entirely at its cost and expense, all the requirements for listing of the Debentures on the wholesale debt market segment of the Stock Exchange. The Issuer further undertakes to procure that the Debentures shall remain continuously listed on the wholesale debt market segment of the Stock Exchange for so long as the Debentures are outstanding.

LISTING OF THE DEBENTURES. 5.1 The Debentures may be listed on the NSE or any other stock exchange in India (the “Exchange”). 5.2 In the event the Company proposes to list the Debentures (or any series or tranche thereof) on the Exchange, the Company shall at all times comply with all applicable SEBI regulations and other Applicable Laws in relation to the issuance of the Debentures and the listing of the Debentures on the Exchange and shall further ensure all Government Approvals and resolutions required to issue or list the Debentures are in place. LISTING OF THE DEBENTURES. The Company shall get the aforesaid debentures listed on the wholesale debt market segment of the National Stock Exchange within three months from the date of allotment. All expense, costs, charges incurred for the purpose of listing of the Debentures, as also for making the offer for sale of Debentures shall be borne and paid by the Company.
LISTING OF THE DEBENTURES. (a) The Issuer shall, promptly after allotment of the Debentures but in any event within 15 (fifteen) days from the Deemed Date of Allotment, procure that the Debentures are listed on the wholesale debt market segment of the Stock Exchange in compliance with applicable Law. (b) All costs, expenses and charges incurred in connection with the listing of the Debentures from time to time shall be borne and promptly paid by the Issuer. (c) The Debentures will be rated by the Credit Rating Agency in accordance with the SEBI Regulations. (d) The Issuer undertakes that it shall strictly comply with, all requirements for listing of the Debentures on the wholesale debt market segment of the Stock Exchange. The Issuer further undertakes to procure that the Debentures shall remain continuously listed on the wholesale debt market segment of the Stock Exchange for so long as the Debentures are outstanding. (e) If the Debentures are not listed for any reason whatsoever within 15 (fifteen) days from the Deemed Date of Allotment pursuant to sub-clause (a) above, the Issuer shall: (i) immediately redeem/ buy back the Debentures from the Debentureholders in accordance with the applicable Law (including the RBI circular RBI/2011-12/423 A.P.(DIR Series) Circular No. 89 dated March 1, 2012) by making payment of the subscription amounts of such Debentures to the Debentureholders together with the applicable Interest. (f) In case of a delay in listing of the Debentures beyond 20 (twenty) days from the Deemed Date of Allotment, the Issuer will pay a penal interest of at least 1% per annum over the Interest Rate, from the expiry of 30 (thirty) days from the Deemed Date of Allotment until the listing of such Debentures, to the Debentureholders.
LISTING OF THE DEBENTURES. 5.1. Each series of the Debentures shall be listed on the Wholesale Debt Market segment of the BSE within 15 (fifteen) calendar days from the relevant Deemed Date of Allotment. The Company shall at all times comply with all applicable RBI regulations, SEBI regulations and other Applicable Law in relation to the issuance of the Debentures and the listing of the Debentures on the BSE and shall further ensure that all government approvals and resolutions required to issue or list the Debentures are in place. The Company does hereby agree and undertake that it shall (if the same has not already been completed) execute the applicable listing agreements and other agreements, documents and other writings as may be stipulated by the BSE for listing of the Debentures on BSE and further agrees and undertakes that it shall furnish all such information and documents as may be required by BSE for the continuous listing of the Debentures. All expenses, costs and charges incurred for the purpose of listing of the Debentures shall be borne and payable by the Company. The Company further undertakes to procure that the Debentures shall remain continuously listed on the Wholesale Debt Market segment of BSE till the Maturity Date unless otherwise agreed in writing by the Debenture Trustee (acting in accordance with the Relevant Instructions). In the event the Debentures are not listed within 15 (fifteen) calendar days from the relevant Deemed Date of Allotment, the Company shall immediately redeem the relevant series of the Debentures along with the relevant Payments in respect to such series of the Debentures. 5.2. In the event any relevant series of the Debentures are not listed within 15 (fifteen) calendar days from the relevant Deemed Date of Allotment and not redeemed in accordance with Clause 5.1 above, a default interest shall accrue on the outstanding principal amount of the Debentures from the 16th day from the relevant Deemed Date of Allotment up to the date on which all outstanding Debentures in respect to the relevant series are redeemed, at a rate of 18.5% (eighteen point five per cent.) per annum. The Company shall be liable to pay any such default interest in aggregate with the Redemption Amount on the Maturity Date.
LISTING OF THE DEBENTURES. (i) The Company shall list each series of the Debentures on the Wholesale Debt Market segment of the BSE within 15 (fifteen) days from the relevant Deemed Date of Allotment. (ii) In the event the Debentures are not listed within 15 (fifteen) calendar days from the relevant Deemed Date of Allotment, a default interest shall accrue on the outstanding principal amount of the Debentures from the 16th day from the relevant Deemed Date of Allotment up to the date of the listing of the Debentures or the date on which all outstanding Debentures are redeemed, whichever is earlier, at a rate of 18.5% (eighteen point five per cent.) per annum. The Company shall be liable to pay any such default interest in aggregate with the Redemption Amount on the Maturity Date.

The Issuer shall ensure that the Debentures continue to be thus rated by the Credit Rating Agencies till the final Redemption Date.
