Litigation and Audits. Except for any claim, action, suit or proceeding set forth on Schedule 3.11, (a) there is no investigation by any Governmental Entity with respect to the Company pending or, to the Company's Knowledge and Seller's Knowledge, threatened, nor has any Governmental Entity indicated to the Company an intention to conduct the same; (b) there is no claim, action, suit, arbitration or proceeding pending or, to the Company's Knowledge and Seller's Knowledge, threatened against or involving the Company, or any of its assets or properties, at law or in equity, or before any arbitrator or Governmental Entity and (c) there are no judgments, decrees, injunctions or orders of any Governmental Entity or arbitrator outstanding against the Company.

Except for any claim, action, suit or proceeding set forth on Schedule 3.9 or Schedule 3.10.3 hereto, (a) no Governmental Entity has indicated to C-CUBED an intention to conduct an investigation, (b) to the Knowledge of C-CUBED there is no investigation by any Governmental Entity with respect to C-CUBED pending or threatened, (c) there is no claim, action, suit, arbitration or proceeding pending or, to the Knowledge of C-CUBED, threatened against or involving C-CUBED or any of its assets or properties, at law or in equity, or before any arbitrator or Governmental Entity, that, if adversely determined, either singly or in the aggregate, would have an C-CUBED Material Adverse Effect or prevent or materially delay the consummation of the transactions contemplated hereby; and (d) there are no judgments, decrees, injunctions or orders of any Governmental Entity or arbitrator outstanding against C-CUBED.

Except as set forth on Schedule 3.9, (a) Genex has not received notice that there is any investigation by any Governmental Entity with respect to Genex pending, and, to the Knowledge of Genex, no investigation by any Governmental Entity with respect to Genex is threatened; (b) there are no claims, actions, suits, arbitrations or proceedings pending or, to the Knowledge of Genex, threatened against or involving Genex or any of its assets or properties, at law or in equity, or before any arbitrator or Governmental Entity; and (c) there are no judgments, decrees, injunctions or orders of any Governmental Entity or arbitrator outstanding against Genex.

Except as set forth in Parent's SEC Reports or as qualified by Schedule 4.3.1, (a) Parent has not received notice that there is any investigation by any Governmental Entity with respect to Parent pending, and, to the Knowledge of Parent, no investigation by any Governmental Entity with respect to Parent is threatened; (b) there are no claims, actions, suits, arbitrations or proceedings pending or, to the Knowledge of Parent, threatened against or involving Parent or any of its assets or properties, at law or in equity, or before any arbitrator or Governmental Entity which could reasonably be expected to result in a Technest Material Adverse Effect; and (c) there are no judgments, decrees, injunctions or orders of any Governmental Entity or arbitrator outstanding against Parent.

Except for any demand or similar letter, action, suit or proceeding set forth on Schedule 3.11, (a) to the Company’s Knowledge, there is no investigation by any Governmental Entity with respect to the Company or any Company Subsidiary pending or threatened; (b) to the Company’s Knowledge, no Governmental Entity has informed the Company that it intends to conduct an investigation with respect to the Company or any Company Subsidiary; (c) there is no demand or similar letter, action, suit, arbitration or proceeding pending or, to the Company’s Knowledge, threatened against or involving the Company or any Company Subsidiary, or any of their respective assets or properties; and (d) to the Company’s Knowledge, there are no judgments, decrees, injunctions or orders of any Governmental Entity or arbitrator outstanding against the Company or any Company Subsidiary.
