Common use of Maintenance, Etc Clause in Contracts

Maintenance, Etc. The Company will maintain, preserve and keep, and will cause each Consolidated Subsidiary to maintain, preserve and keep, its properties which are used in the conduct of its business (whether owned in fee or a leasehold interest) in good repair and working order, ordinary wear and tear excepted, and from time to time will make all necessary repairs, replacements and renewals as the Company may determine to be appropriate to the conduct of its business.

The Company will maintain, preserve and keep, and will cause each Consolidated Subsidiary to maintain, preserve and keep, its material properties which are used in necessary for the conduct of its business (whether owned in fee or a leasehold interest) in good repair and working order, ordinary wear and tear excepted, order and from time to time will make all necessary repairs, replacements replacements, renewals and renewals as additions so that at all times the efficiency thereof shall be maintained; provided, however, that the foregoing shall apply only if the effect of all failures of the Company may determine or such Subsidiary to take such actions would be appropriate to the conduct of its businesscause a Material Adverse Effect.
