Maintenance of Information Technology. Organization warrants that it shall implement and maintain appropriate safeguards to prevent the Use or Disclosure of PHI in any manner other than as permitted by this Agreement. Organization warrants that it shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Hospital IT system, EHR, and PHI that it receives, maintains, or transmits from Hospital as required by law. Organization shall protect Hospital IT system from viruses and similar program threats and manage logging and other data collection mechanisms.
Maintenance of Information Technology. Third Party Payer warrants that it shall implement and maintain appropriate safeguards to prevent the Use or Disclosure of PHI in any manner other than as permitted by this Agreement. Third Party Payer warrants that it shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Healthcare Organization IT system, EHR, and PHI that it receives, maintains, or transmits from Healthcare Organization as required by law. Third Party Payer shall protect Healthcare Organization IT system from viruses and similar program threats and manage logging and other data collection mechanisms.
Maintenance of Information Technology. Outside Entity warrants that it shall implement and maintain appropriate safeguards in accordance with the HIPAA Rules to prevent the Use or Disclosure of PHI in any manner other than as permitted by this Agreement. Outside Entity warrants that it shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of PHI that it receives, maintains, or transmits from the Tower Entities as required by law. Outside Entity shall not cause, directly or indirectly, any malware or similar program to affect or infiltrate CareLink or the Tower Entities’ other information technology systems. Outside Entity shall not attempt to bypass any security or authentication method presented by the Tower Entities.

Community Partner warrants that it shall implement and maintain appropriate safeguards to prevent the Use or Disclosure of PHI in any manner other than as permitted by this Agreement. Community Partner warrants that it shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of TDC’s IT system, EHR, and PHI that it receives, maintains, or transmits from TDC as required by law. Community Partner shall protect TDC’s IT system from viruses and similar program threats and manage logging and other data collection mechanisms.
Maintenance of Information Technology. In the event that the persons providing maintenance or support services for the Information Technology, cease, or are unable, to supply, their services, the Group has all the necessary rights and information to continue to maintain and support or have a third party maintain and support the Information Technology as at the date hereof.
