MAKER'S COVENANTS. Maker agrees that:
(a) this instrument and the rights and obligations of all parties hereunder shall be governed by and construed under the laws of the state or commonwealth in which the Property is located;
(b) the obligation evidenced by this Note is an exempted transaction under the Truth-in-Lending Act, 15 U.S.C Section 1601, ET SEQ. (1982);
(c) said obligation constitutes a business loan for the purpose of the application of any laws that distinguish between consumer loans and business loans and that have as their purpose the protection of consumers in the state or commonwealth in which the Property is located;
(d) at the option of the Holder, the United States District Court for the district in which the Property is located and any court of competent jurisdiction of the state or commonwealth in which the Property is located shall have jurisdiction in any action, suit or other proceeding arising out of or relating to any act taken or omitted hereunder or the enforcement of this Note, the Deed of Trust and the Related Agreements and Maker shall not assert in any such action, suit or other proceeding that it is not personally subject to the jurisdiction of such courts, that the action, suit or other proceeding is brought in an inconvenient forum or that the venue of the action, suit or other proceeding is improper;
(e) it hereby waives any objections to venue; and
(f) it hereby waives its right to a trial by jury.
MAKER'S COVENANTS. Maker agrees that (a) this instrument and the ----------------- rights and obligations of all parties hereunder shall be governed by and construed under the laws of the State of New York; (b) the obligation evidenced by this Note is an exempted transaction under the Truth-in-Lending Act, 15 X.X.X (X)0000, et seq. (1982); (c) said obligation constitutes a business loan for the -- ---- purpose of the application of any laws that distinguish between consumer loans and business loans and that have as their purpose the protection of consumers in the State of New York; (d) at the option of the Holder, the United States District Court for the Northern District of New York and any court of competent jurisdiction of the State of New York shall have jurisdiction in any action, suit or other proceeding arising out of or relating to any act taken or omitted hereunder or the enforcement of this Note or the Security Agreement, and Maker shall not assert in any such action, suit or other proceeding that it is not personally subject to the jurisdiction of the courts in (d) above, that the action, suit or other proceeding is brought in an inconvenient forum or that the venue of the action, suit or other proceeding is improper; and (e) it hereby waives any objections to venue.
MAKER'S COVENANTS. Maker agrees that (a) the obligation evidenced by this Note is an exempted transaction under the Truth-in-Lending Act, 15 U.S.C. § 1601, et seq. (1982); (b) said obligation constitutes a business loan for the purpose of the application of any laws that distinguish between consumer loans and business loans and that have as their purpose the protection of consumers in the State of California; (c) at the option of the Payee, the United States District Court for the district in which the Property is located and any court of competent jurisdiction of the state in which the Property is located shall have jurisdiction in any action, suit or other proceeding arising out of or relating to any act taken or omitted hereunder or the enforcement of this Note, the Deed of Trust and the Loan Documents and Maker shall not assert in any such action, suit or other proceeding that it is not personally subject to the jurisdiction of the courts in this subsection (c) that the action, suit or other proceeding is brought in an inconvenient forum or that the venue of the action, suit or other proceeding is improper; and (d) it hereby waives any objections to venue.
MAKER'S COVENANTS. Maker agrees that:

(c) said obligation constitutes a business or commercial loan for the purpose of the application of any 1aws that distinguish between consumer loans and business or commercial loans and that have as their purpose the protection of consumers in the state or commonwealth in which the Property is located;
(d) at the option of the Holder, the United States District Court for the district in which the Property is located and any court of competent jurisdiction of the state or commonwealth in which the Property is located shall have jurisdiction in any action, suit or other proceeding arising out of or relating to any act taken or omitted hereunder or the enforcement of this Note, the Guaranty, the Deed of Trust and the Related Agreements except to the extent that jurisdiction must be in the courts of Maryland in order to properly enforce the terms and provisions of the Note, the Guaranty, the Deed of Trust, and such Related Agreements, and for all purposes Maker hereby consents to the jurisdiction of the courts of Maryland and Maker shall not assert in any such action, suit or other proceeding that it is not personally subject to the jurisdiction of such courts that the action, suit or other proceeding is brought in an inconvenient forum or that the venue of the action, suit or other proceeding is improper;
(e) it hereby waives any objections to venue; and
(f) it hereby waives its right to a trial by jury.
MAKER'S COVENANTS. Maker agrees with Holder that, until this Note has been paid in full in cash, Maker will perform the obligations set forth in Sections 6.1, 6.2, 6.3, 6.4, 6.5, 6.6, 6.7, 6.8, 6.9, 6.10, 6.12 and 7.1 through 7.16, inclusive, of the Crown Credit Agreement with the same effect as if such obligations were set forth herein in full; provided, however, that (i) the references in such sections to "Agent", "

MAKER'S COVENANTS. Maker agrees that (a) the obligation evidenced by this Note is an exempted transaction under the Truth-in-Lending Act, 15 U.S.C. Section 1601, et seq. (1982); (b) said obligation constitutes a business loan for the purpose of the application of any laws that distinguish between consumer loans and business loans; (c) at the option of the Payee, the United States District Court having jurisdiction over Montgomery County, Pennsylvania and any court of competent jurisdictxxx xx xxx Commonwealth of Pennsylvania shall have jurisdiction in any action, suit or other proceeding arising out of or relating to any act taken or omitted hereunder or the enforcement of this Note, the Loan Agreement and the Loan Documents and Maker shall not assert in any such action, suit or other proceeding that it is not personally subject to the jurisdiction of the courts in this subsection (c) that the action, suit or other proceeding is brought in an inconvenient forum or that the venue of the action, suit or other proceeding is improper; and (d) it hereby waives any objections to venue.
MAKER'S COVENANTS. Maker covenants and agrees that from and after the date hereof and until the date of repayment in full of the Obligations, it shall comply with the following covenants:
(a) Payment of Obligations. Maker will pay the indebtedness evidenced by this Note according to its terms.
(b) Maintenance of Existence and Conduct of Business. Maker shall, and shall cause each of its subsidiaries to (i) do or cause to be done all things necessary to preserve and keep in full force and effect its corporate existence and rights; and (ii) continue to conduct its business so that such business may be properly and advantageously conducted.
MAKER'S COVENANTS. Maker, and each person now or hereafter liable, whether primarily or secondarily, for the whole or any part of the indebtedness evidenced by this Note or any instruments which secure this note jointly and severally:
