Common use of Master Agreement Order of Precedence Clause in Contracts

Master Agreement Order of Precedence. 1.1. This Agreement consists of the following and shall read as set forth in Section 1.3 below: 1) The general Master Agreement terms and conditions, less their Exhibits; 2) Exhibit 4 – Provisions Required by Federal Law, as may be applicable for a specific Contract; 3) Exhibit 1 – NASPO ValuePoint Master Agreement Terms and Conditions; 4) Exhibit 3 – Description of Goods and/or Services, Prices, and Discount Percentages; 5) Exhibit 2- Sample Participating Addendum (“PA”) 6) Exhibit 5 – NASPO ValuePoint Detailed Sales Report Form 1.2. Any Order placed under this Master Agreement consists of the following documents and shall be read as set forth in Section 1.3 below: 1) A Participating Entity’s Participating Addendum (“PA”), substantially in the form attached hereto as Exhibit 2; 2) NASPO ValuePoint Master Agreement and its exhibits in the order listed above; and 3) A Purchase Order issued against a PA. 1.3. These documents shall be read to be consistent and complementary. Any conflict among these documents shall be resolved by giving priority to these documents in the order listed above. Contractor terms and conditions that apply to this Master Agreement are only those that are expressly accepted by the Lead State and must be in writing and attached to this Master Agreement as an Exhibit or Attachment.
