Master License Agreement. This Supplement is a Supplement as referenced in that certain Master License Agreement between the City/Village and , dated , 20 , (the “Agreement”). All of the terms and conditions of the Agreement are incorporated herein by reference and made a part hereof without the necessity of repeating or attaching the Agreement. In the event of a contradiction, modification or inconsistency between the terms of the Agreement and this Supplement, the terms of this Supplement (note – Supplement should govern because there may be some site specific items that might have to be addressed at an individual location which might create a conflict with Agreement terms) shall govern. Capitalized terms used in this Supplement shall have the same meaning described for them in the Agreement unless otherwise indicated herein.

Neither party may transfer, assign or sub-license this Agreement, or any of its rights and obligations hereunder to an unaffiliated third party (each a “Transfer”) without the prior written consent of the other party, which consent may not be unreasonably or unduly withheld. Notwithstanding the foregoing, a Transfer does not require consent where such transfer forms part of the sale of all, or substantially all, of the transferor’s assets or business; however, transferor shall provide notice to the other party immediately upon such Transfer occurring. For clarity, a transfer to an Affiliate shall not require consent but the transferring party shall give the other party notice upon completion of the transfer to an Affiliate.
