Xxxxxxxxxxx Xxxxxxx. The 1st defendant further contends, that disconnection of the electricity supply to the premises occupied by the claimant was done in accordance with the agreed terms and conditions for the provision of electricity to its customers and was not in breach of its duty. Further, that the disconnections were made after the discovery of under-registering of electricity from the meter assigned to the premises and the subsequent refusal or failure of the claimant to pay the value of the under- registered electricity, despite adjustments being made to lessen the sum. Case for the 2nd Defendant/Ancillary Claimant [5] The 2nd defendant, Xxxxxx Xxxxxxx filed no defence contesting the claimant’s allegations. In addition to this, the 2nd defendant did not comply with the CMC orders of the Hon. Xx. Xxxxxxx X. Xxxxxxx. Having failed to comply with these orders, the 2nd defendant’s statement of case was struck out and judgment entered in favour of the claimant against the 2nd defendant. Claimant’s Case Xxxxxxxxxxx Xxxxxxx ( also referred to as Xx. Xxxxxxx) [6] At the trial, the witness statement of Mr. Xxxxxxxxxxx Xxxxxxx dated and filed August 10, 2020 was permitted to stand as his evidence in chief with amplification. He was also cross-examined. [7] Xx. Xxxxxxx was the main witness for the claimant, as the director of the claimant company. He gave evidence that on or about July 14, 2010, JPS representatives entered unto Xxxxx’x premises and disconnected the electricity supply and removed the meter for it to be tested for any irregularity. He stated that Xxxxx’x operations ceased on that day. [8] The same day he called Xx. Xxxxxx Xxxxxx, who at the time was manager of Large Account Audit Department at JPS. Xx. Xxxxxx told him to visit the JPS office the following day (July 15, 2010) which he did. He had discussions with Xx. Xxxxxx after which a new meter was installed at the premises and electricity supply was restored on July 16, 2010. Simco resumed operations on July 19, 2010. [9] However, by a letter dated August 12, 2010, JPS wrote to Mr. Xxxxxxxxxxx Xxxxxxx and Mr. Xxxxxx Xxxxxxx, the 2nd defendant, informing them that the meter was showing irregularities and was recording only 50% of the energy which passed through it, and asserting therefore, that the meter was not registering the full amount of energy consumed on the premises. Xxxxxxxxxxx Xxxxxxx. The choreographer for the display will be Xxxxxxxxxxx Xxxxxxx. Xxxxx Xxxxxxx is a family member and fourth generation pyrotechnician and has apprenticed and trained in the family art and business since his youth. He has extensive experience in all aspects of pyrotechnic design and execution. Additionally, Xx. Xxxxxxx will be the lead choreographer and designer of the display. Xx. Xxxxxxx has designed hundreds of complex musically choreographed displays, computer fired displays and electrically fired displays for venues across the country. Xx. Xxxxxxx has studied music and is fluent in sound editing software and has a firm grasp on the essential components of a strong soundtrack. His knowledge of music and sound editing allows him the freedom to build custom soundtracks all with a trained ear and eye to the marriage of the accompanying visual pyrotechnic effects. His extensive understanding of the manufacturing process and product performance is unmatched by any choreographer in the world having grown into the business since his childhood. This provides him a virtual library of effects, critical timing points in his mind like an immediate encyclopedia for reference. Xx. Xxxxxxx has over 25 years of experience in manufacturing, displaying and designing fireworks displays. He has designed displays ranging from complex multi-barge location productions, to compelling close proximate pyrotechnics for stadiums and building rooftops. Xxxxx Xxxxxxx has extensive experience designing and executing high profile, complex, musically choreographed displays around the country. He has designed, choreographed and executed one of the largest displays in the country for the July 4th display for our nation’s capitol in Washington D.C. annually since 2013. He has choreographed complex barge fired displays on the shores of the West Coast and East Coast. He has worked hard to master the craft of ensuring the choreography of our displays is tangible to the audience. He is passionate about making the visuals and music match at a level that exceeds expectation. He has been privileged to design and choreograph the display for the City of Doral for nearly a decade and treats each display with an effort towards exceeding our prior performances.

(x) The Borrower will not, nor will it permit any Subsidiary to, merge into or consolidate with any other Person, or permit any other Person to merge into or consolidate with it, or liquidate or dissolve, except that, if at the time thereof and immediately after giving effect thereto no Default shall exist: (i) any Loan Party may merge or amalgamate into any other Loan Party; provided that if one of such Loan Parties is the Borrower, the Borrower shall be the continuing or surviving Person, (ii) any Subsidiary that is not a Loan Party may merge or amalgamate into any other Subsidiary; provided that if such merger involves a Loan Party, a Loan Party shall be the continuing or surviving Person or the continuing or surviving Person shall become a Loan Party simultaneously with the consummation of such transaction; (iii) any Subsidiary may liquidate, dissolve or wind-up if the Borrower determines in good faith that such liquidation, dissolution or wind-up is in the best interests of the Borrower and is not materially disadvantageous to the Lenders taken as a whole and the assets of such Subsidiary are distributed to Borrower or another Subsidiary Guarantor; (iv) the Borrower or any Subsidiary may merge or amalgamate into another Person in connection with an acquisition permitted by Section 6.04; provided that (x) if the Borrower is involved, it shall be the continuing or surviving Person and (y) if the Subsidiary involved is a Loan Party, such Loan Party is the continuing or surviving Person or the continuing or surviving Person shall become a Loan Party simultaneously with the consummation of such transaction; and (v) any Subsidiary may merge into or consolidate with any other Person in connection with a transaction permitted by Section 6.05.
