Common use of Material Pricing Adjustment Clause in Contracts

Material Pricing Adjustment. The Parties agree that the Contract Sum in Section 5.1 above includes the purchase of all materials required for the Project, including the materials referenced in Exbibit X. The Parties further agree that the Contract Sum shall be increased or decreased via Change Order based upon the actual invoiced pricing for the materials in Exhibit X. However, in order for the Contractor to be entitled to an increase in the Contract Sum for the cost of the materials in Exhibit X, documentation of current pricing must have been submitted with the bid, and the Contractor shall submit submittals and shop drawings within twenty (21) days of receipt of the fully-executed Contract, and the materials shall be ordered within seven (7) days of the Contractor’s receipt of the Design Consultant’s approval of the submittals and shop drawings. In the event the Design Consultant approves a portion of the submittals and/or shop drawings for materials in Exhibit X, those materials shall be ordered within seven (7) days of the Contractor’s receipt of the approval of the submittal or shop drawing even if the Design Consultant has not reviewed and approved all of the submitted materials. The Parties agree that the Contractor shall not be entitled to a Change Order increasing the Contract Sum for an increase in the cost of the materials in Exhibit X if the deadlines in this Section 5.4 are not strictly adhered to by the Contractor.
