Mediation; Legal Action. The Parties will attempt in good faith to resolve all disputes under this Agreement promptly by negotiation. If a dispute cannot be resolved within thirty (30) days of written notice of the dispute duly delivered by one Party to the other Party, either Party may request that the Parties submit to mediation of the dispute with the assistance of a mutually agreed mediator. If the Parties agree to submit the dispute to mediation, any statute of limitations that had not expired as of the date of the delivery of written notice of the dispute shall be extended so as not to expire prior to fifteen (15) days after the termination of the mediation. In the event that the Parties do not agree to submit the dispute to mediation, any statute of limitation that had not expired as of the date of the delivery of written notice of the dispute shall be extended so as not to expire prior to forty-five (45) days after the delivery of such notice. At all times, including if any legal action is brought for the enforcement of this Agreement or because of an alleged dispute, default, misrepresentation, or breach in connection with any of the provisions of this Agreement, each Party shall be responsible for its own attorneys’ fees, costs and expenses unless a federal or state statute otherwise provides for fee shifting.

  • Other Legal Actions The actions stipulated in this Integrity Pact are without prejudice to any other legal action that may follow in accordance with the provisions of the extant law in force relating to any civil or criminal proceedings.

Failure to notify the Department of a legal action within 30 days of the action will be grounds for termination for cause of the Contract.

  • No Legal Actions No court or governmental authority of competent jurisdiction shall have issued an order, not subsequently vacated, restraining, enjoining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement, and no person shall have instituted an action or proceeding which shall not have been previously dismissed seeking to restrain, enjoin or prohibit the consummation of the transactions contemplated by this Agreement or seeking damages with respect thereto.

  • Litigation; Governmental Proceedings There is no action, suit, proceeding, inquiry, arbitration, investigation, litigation or governmental proceeding pending or, to the Company’s knowledge, threatened against, or involving the Company or, to the Company’s knowledge, any executive officer or director which has not been disclosed in the Registration Statement, the Pricing Disclosure Package and the Prospectus or in connection with the Company’s listing application for the listing of the Public Securities on the Exchange.

  • Alternative Arbitration Proceedings Alternatively, the Parties may refer the matter to the Nairobi Centre for International Arbitration (NCIA) which offers a neutral venue for the conduct of national and international arbitration with commitment to providing institutional support to the arbitral process.

  • Cooperate in Legal Proceedings Borrower shall cooperate fully with Lender with respect to any proceedings before any court, board or other Governmental Authority which may in any way affect the rights of Lender hereunder or any rights obtained by Lender under any of the other Loan Documents and, in connection therewith, permit Lender, at its election, to participate in any such proceedings.
