Common use of Member Notification Clause in Contracts

Member Notification. To the extent required by law, any indemnification of or advance of expenses to a Member or Manager in accordance with this Article shall be reported in writing to the Members with or before the notice or waiver of notice of the next Members’ meeting or with or before the next submission to Members of a consent to action without a meeting and, in any case, within the twelve month period immediately following the date of the indemnification or advance.

Member Notification. To the extent required by law, any indemnification of or advance of expenses to a Member or Manager in accordance with this Article 8 shall be reported in writing to the Members with or before the notice or waiver of notice of the next Members’ ' meeting or with or before the next submission to Members of a consent to action without a meeting and, in any case, within the twelve 12-month period immediately following the date of the indemnification or advance.
