MEMBERSHIP ON BOARD OF DIRECTORS. DFC agrees to nominate or cause you to be nominated for election to DFC's Board of Directors.
MEMBERSHIP ON BOARD OF DIRECTORS. During the Employment Period or Executive's attainment of the mandatory retirement age for service on the Company's Board of Directors (the "BOARD"), the Company shall include Executive in the management slate for election as a director and shall recommend his election at any stockholders' meeting at which his term otherwise would expire.
MEMBERSHIP ON BOARD OF DIRECTORS. As of the Effective Time, the Board of Directors of FiberChem shall consist of nine persons of whom four persons will be nominees jointly of Xxxxx X. Xxxxxxx and Xxxxx Xxxxxxxxx, four persons will be nominees of Xxxxxxxx Xxxxxx and one person will be a nominee chosen jointly by Xxxxx X. Xxxxxxx and Xxxxxxxx Xxxxxx, and if they are unable to agree, a person chosen by the other eight directors.
MEMBERSHIP ON BOARD OF DIRECTORS. You agree that if nominated, you will stand for election to the Company's Board of Directors, and, if elected, that you will serve on the Company's Board of Directors, until the 2003 annual meeting of stockholders. In connection with your service on the Board of Directors you will be entitled to the standard outside director compensation paid by the Company and to all other benefits generally available to non-employee directors.
MEMBERSHIP ON BOARD OF DIRECTORS. After passage of a resolution approving the Petitioning Agency for membership in MCAT and the execution of the Binder Agreement by XXXX, the Chief of Police or his/her designed of the Petitioning Agency as a Member of MCAT shall hold one (1) seat on the MCAT Board of Directors and shall one (1) vote on any motion of the MCAT Board of Directors.
MEMBERSHIP ON BOARD OF DIRECTORS. During the License Term (as defined in the License Agreement), SmartServ agrees to nominate a person designated from time to time by DTN and acceptable to the SmartServ Board of Directors as a member of the Board of Directors of SmartServ at the appropriate annual meeting of the shareholders of SmartServ held for the purpose of electing directors of SmartServ.
MEMBERSHIP ON BOARD OF DIRECTORS. It is the intention of the parties that Xxxxx will be elected to the Board of Directors of the Company, and that Xxxxx will serve on the Board if so elected. Xxxxx will purchase $100,000 worth of Company common stock, at fair market value on the date of purchase, at the time he commences membership on the Company's Board of Directors.
MEMBERSHIP ON BOARD OF DIRECTORS. Upon any termination of the Executive's employment hereunder for any reason, the Executive agrees to resign from the Board of Directors of the Corporation and all other offices and Board memberships of the Corporation and its subsidiaries and affiliates upon request.
MEMBERSHIP ON BOARD OF DIRECTORS. The parties acknowledge that the Advisor currently serves as a director of the Company and that the Advisor's responsibilities hereunder do not prohibit or limit his ability to serve as a director of the Company, except that he may no longer be deemed an "independent director" as defined by the rules of the Securities and Exchange Commission and the American Stock Exchange.
MEMBERSHIP ON BOARD OF DIRECTORS. All current members of the Board of Directors of the Company shall have resigned as of the Closing Date.
