Board Memberships. The Officer may serve as a member of the boards of directors of such business, community and charitable organizations as he may disclose to and as may be approved by the Board (which approval shall not be unreasonably withheld), and he may engage in personal business and investment activities for his own account; provided, however, that such service and personal business and investment activities shall not materially interfere with the performance of his duties under this Agreement.

The Officer may also engage in personal business and investment activities which do not materially interfere with the performance of her duties hereunder; PROVIDED, HOWEVER, that such activities are not prohibited under any code of conduct or investment or securities trading policy established by the Bank and generally applicable to all similarly situated Officers.
Board Memberships. Executive will be one of the members of management initially designated to be a member of the Board.
Board Memberships. All Covered Persons shall disclose any existing and pending memberships on any board of directors or a similar body for an outside company or government agency. Helping the community by serving on boards of non-profit or community organizations is encouraged, and does not require disclosure or waiver.
Board Memberships. Various Boards of organizations associated with the University of Kansas Future memberships on Boards, or committee of Boards, of for-profit and not-for-profit entities that are not competitors of Company and do not require a material amount of Employee’s working time, in each case after consulting with Company and seeking its consent to serve in that capacity, which consent shall not be unreasonably withheld. Board Memberships. Seller shall have obtained approval of the appointment of a representative of Purchaser to and shall have provided the resignation of Seller’s representative from the board of directors or board of supervisors, as applicable, of the South Shore Corporate Park Owner’s Association, Inc. and the South Shore Corporate Industrial Community Development District effective as of Closing.
Board Memberships. While serving as a consultant during the Consulting Period, you shall continue to have the right to serve as a member of the Board of Directors of each of GreenPoint and the Bank. Upon your cessation of service as a consultant, either upon the expiration of the Consulting Period or as a result of termination of your services by you or by GreenPoint for any reason in the sole discretion of either you or GreenPoint, you shall automatically cease to be a member of such Boards of Directors. You acknowledge that, other than the consulting fees provided herein, you shall not be entitled to receive any fees for your service to the Boards of Directors of GreenPoint and the Bank, nor shall you be entitled to participate in any benefit or compensation plan or program. It is agreed that you will submit invoices to GreenPoint for reasonable expenses incurred by you in connection with your membership on these Boards and that GreenPoint will reimburse you for these reasonable expenses in accordance with its policy as in effect from time to time.
Board Memberships. Xxxxxxxx shall continue as a member of the Boards of Directors of Fortis, the mutual funds managed by Fortis, the charitable funds primarily supported by Fortis, and other such Fortis related directorships as may be appropriate. Fortis intends to continue to seek to elect Xxxxxxxx to such directorships for so long as is reasonable and appropriate under the circumstances, but no longer than while Fortis controls such entity or manages the mutual funds, and Xxxxxxxx shall be entitled to the fees and expenses paid for directors that are not employees of Fortis.
Board Memberships. For as long as this Agreement is in effect, Employee shall be entitled to be elected to serve as a director of the Company and to be nominated as one of PMI's slate of management nominees to serve as a director of PMI. PSH Corp. will vote its shares in PMI in favor of Employee's election as a director.
