Merger or Liquidation of the Company. In the event of any consolidation or merger of the Company with or into any other corporation or other entity or person, or any other corporate reorganization in which the Company shall not be the continuing or surviving entity of such consolidation, merger or reorganization or any transaction or series of related transactions by the Company in which in excess of 50% of the Company's voting power is transferred, or a sale of all or substantially all of the assets of the Company, or any liquidation, dissolution or winding up of the Company, the Company shall, at the option of the Holder, redeem the Debenture held by such Holder by paying in cash therefor to such Holder a sum equal to the outstanding principal amount (excluding any accrued interest added to such principal amount) of such Debenture, together with any accrued and unpaid interest on such Debenture (the "Redemption Price").

The Company shall merge or liquidate with or into any other Person and, as a result thereof and after giving effect thereto, (i) the Company is not the surviving Person or (ii) such merger or liquidation would effect an acquisition of or Investment in any Person not otherwise permitted under the terms of this Agreement.   • Dissolution of the Company The Company shall be dissolved upon the happening of any of the following events, whichever shall first occur:
