Without limiting the generality of the foregoing, other than (i) in the ordinary course of business consistent with past practices, (ii) as set forth on Schedule 6.1 of the Company Disclosure Schedule, (iii) as specifically contemplated by this Agreement or (iv) with the written consent of Buyer or Merger Subsidiary (such consent which shall not be unreasonably withheld), from the date hereof until the Effective Time, the Company will not: (a) declare, set aside or pay any dividend (other than regular quarterly dividends) or other distribution with respect to any shares of capital stock of the Company, or any repurchase, redemption or other acquisition by the Company or any Subsidiary of the Company of any outstanding shares of capital stock or other securities of, or other ownership interests in, the Company or any Subsidiary of the Company; (b) issue or sell any additional shares of, or securities convertible into or exchangeable for, or options, warrants, calls, commitments or rights of any kind to acquire, any shares of capital stock of any class of the Company or any Subsidiary of the Company, other than issuances pursuant to the exercise of options outstanding on the date hereof and disclosed on Schedule 4.5 of the Company Disclosure Schedule; (c) amend any material term of the certificate of incorporation, by-laws or any outstanding security of the Company or any Subsidiary of the Company; (d) split, combine or reclassify its outstanding capital stock; (e) incur, assume or guarantee by the Company or any Subsidiary of the Company of any indebtedness for borrowed money; (f) make any loan, advance or capital contribution to or invest in any Person; (g) cause or willfully permit any damage, destruction or other c...
