METAGENICS’ DUTIES. 2.1 Beginning on the Effective Date, Metagenics shall be permanently enjoined from manufacturing or causing the Product to be manufactured for sale in the State of California, “Distributing the Product into the State of California,” or directly selling the Product in the State of California if doing so exposes a person to a “Daily Lead Exposure Level” of more than 0.5 micrograms of lead per day when the maximum suggested dose is taken as directed on the Product’s label unless it meets the warning requirements of Section 2.2.

Contractor warrants that it possesses the legal authority to enter into this Contract and that it has taken all actions required by its procedures, by-laws, and applicable laws to exercise that authority, and to lawfully authorize its undersigned signatory to execute this Contract, or any part thereof, and to bind Contractor to its terms.
