Method of Electing Sale; Allocation of Sales. Except for the Released Shares or as otherwise provided in Section 6.01, no sale or transfer by any Shareholder of any shares of Capital Stock will be valid unless the transferee of such Capital Stock first agrees in writing to be bound by the same terms and conditions that apply to the Shareholder under this Agreement and the Warrant Agreement. In addition, before any shares of Capital Stock held, directly or indirectly, by any Shareholder may be sold or transferred to any Person, such Shareholder (as such, the "Selling Shareholder") will comply with the following provisions:

  • Method of Electing Interest Rates (a) The Loans included in each Committed Borrowing shall bear interest initially at the type of rate specified by the Borrower in the applicable Notice of Committed Borrowing.
