Minimum Offering Size Clause Samples

Minimum Offering Size. Any underwritten sale pursuant to a Shelf Registration pursuant to this Section 2.2 must be for a number of Registrable Securities which, based on the good faith determination of the Holders, will result in gross proceeds of at least $25 million in the case of any Marketed Underwritten Offering or $10 million in the case of any other underwritten offering.
Minimum Offering Size. To constitute a valid demand pursuant to this Section 2.1, the estimated market value (based upon the closing price of the relevant security on the trading day prior to the date of the Demand Notice) of the Registrable Securities to be registered by those Holders who individually or collectively delivered the Demand Notice with respect to such registration pursuant to this Section 2.1 must be at least: (A) Group R Holders. $60 million, in the case of a Demand Notice delivered by Group R Holders;
