Minimum Purchase Targets. 7.1 SAMARITAN undertakes to sell Products in compliance with the Minimum Purchase Targets as set forth in Annex 4 attached hereto. In the event that at the end of each Marketing Year, SAMARITAN failed to reach the Minimum Purchase Targets during the immediately preceding Marketing Year, MOLTENI shall have the right to terminate this Agreement with immediate effect. In each case, SAMARITAN shall not be held liable to pay damages to MOLTENI in respect of such termination as it is set out in this article and such termination shall be MOLTENI's sole remedy in respect of such breach. For the purposes of this article, SAMARITAN is deemed to have reached the Minimum Purchase Targets where it has placed orders with MOLTENI, in accordance with obligations of article 6 which, had they been accepted by MOLTEN1 would have brought SAMARITAN above the relevant Minimum Purchase Targets.

Minimum Purchase Targets. A. The Minimum Purchase Target for the applicable Time Period will be: January 1, 2021, through December 31, 2021 [***] January 1, 2022, through December 31, 2022 [***] January 1, 2023, through December 31, 2023 [***] January 1, 2024, through December 31, 2024 [***] B. With the exception of purchases or orders of the Products made by Distributor to enable Distributor to achieve any Minimum Purchase Target, Distributor intends to use reasonable efforts to distribute its purchase of Products according to end user demand. If Distributor does not purchase Products from Supplier with an aggregate value equal to or in excess of the Minimum Purchase Target for an applicable Time Period as specified above, then Distributor will have the option to purchase Products from Supplier with an aggregate invoice value equal to the shortfall in actual purchases as compared to the Minimum Purchase Target (the “Purchase Shortfall”). For purposes of this Section 5, the aggregate value of purchases to determine whether the Minimum Purchase Target for an applicable Time Period has been achieved will be calculated from the invoice value paid or payable by Distributor, after applying any credits or discounts provided by Supplier, other than an Agreed Credit (as that term is defined in Section 6, below). If Distributor does not submit one or more purchase orders with an aggregate invoice value equal to or greater than the Purchase Shortfall within fifteen (15) days of the end of an applicable Time Period, then for a period of thirty (30) days after such fifteen (15) day period (the “Exercise Window”), Supplier will have the right, but not the obligation (the “Exclusivity Termination Right”), to terminate the Exclusivity and Distributor cooperative marketing commitment provisions specified in Section 7, below, by providing Distributor with written notice (the “Exclusivity Termination Notice”) prior to the expiration of the Exercise Window. In the event Supplier does not exercise its Exclusivity Termination Right during the Exercise Window, this Agreement, including, but not limited to, the Exclusivity and Distributor cooperative marketing commitment provisions specified in Section 7, below, will continue in full force and effect unchanged for the following calendar year, at which point the Exclusivity Termination Right may again be exercised should that calendar year’s Minimum Purchase Target not be met or satisfied as noted above.   • Minimum Purchase Broker-Dealer shall not sell fewer than $5,000 in Notes to any purchaser without the prior written consent of Issuer.

  • Minimum Purchase Requirements Distributor shall make the minimum annual purchase of Products established in Exhibit B, unless the Agreement has become coexclusive. In the period within the fixed term and extension, if applicable, of the Agreement under Section 10(a) subsequent to [ * ], the parties shall meet in San Francisco at least [ * ] prior to the beginning of each of respective year to discuss market conditions and appropriate minimum purchases for such year. In the event that the parties fail to agree on an appropriate minimum any year subsequent to [ * ], the minimum annual purchase requirement for such year shall be calculated increasing or decreasing (as the case may be) the minimum purchase requirement for the preceding year in proportion to the increase or decrease in the [ * ] (based on data from mutually acceptable data provider) of the applicable product in the Territory. In the event Supplier is unable to deliver Products ordered by Distributor in an amount consistent with the most recent forecast, then the minimum annual purchase requirement shall be reduced by the quantity of Products that Supplier is unable to deliver when requested. In the event Distributor fails in any year (a “Shortfall Year”) to make the annual minimum purchase of Agreement Products required by Exhibit B, Supplier shall have the right to give Distributor written notice of default, and if such failure to make the minimum purchase is not cured (through the purchase of an amount of Agreement Product equal to the entire shortfall in the Shortfall Year, which amount shall not be counted towards any minimum purchase requirements for the year of purchase) within [ * ] of receipt of the notice, then Supplier shall have the right, in Supplier’s sole discretion and as Supplier’s sole remedy for Distributor’s failure to meet the minimum purchase requirements hereunder, either to convert the appointment of Distributor from exclusive to non-exclusive or to terminate this Agreement. In the event of either conversion to non-exclusive or termination of this Agreement pursuant to this Section 3(e), the Supplier shall pay Distributor a conversion fee equal to [ * ], and Distributor shall transfer all Regulatory Approvals relating to BMS or DES in the Territory to Supplier.

  • Sales Milestones (a) As to each Therapeutic Product, SANOFI-AVENTIS shall pay MERRIMACK up to a total of Sixty Million Dollars (US$60,000,000) upon the first achievement of the following Net Sales milestones, on a Therapeutic Product-by-Therapeutic Product basis: (i) Total Worldwide Net Sales for such Therapeutic Product exceed $[**] in any four (4) consecutive calendar quarters $ [**] (ii) Total Worldwide Net Sales for such Therapeutic Product exceed $[**] in any four (4) consecutive calendar quarters $ [**] (iii) Total Worldwide Net Sales for Therapeutic Product exceed $[**] in any four (4) consecutive calendar quarters $ [**] (b) Each milestone payment set forth in Section 8.4(a) shall be payable by SANOFI-AVENTIS upon the achievement of the related milestone event by SANOFI-AVENTIS and its Affiliates or sublicensees, and SANOFI-AVENTIS shall provide notice to MERRIMACK promptly upon achievement of such milestone event. SANOFI-AVENTIS shall pay MERRIMACK each such milestone payment within [**] days of such achievement of the related milestone event. (c) For purposes of clarity, more than one of the Net Sales milestones set forth above may be earned in the same four (4) consecutive calendar quarter period with respect to a Therapeutic Product. For example, if total worldwide Net Sales with respect to a given Therapeutic Product have not achieved any of the lower sales milestone thresholds set forth in clause (i) or (ii) of Section 8.3(a) above in any previous four (4) consecutive calendar quarter period, but total worldwide Net Sales with respect to such Therapeutic Product exceed $[**] in a subsequent four (4) consecutive calendar quarter period, then all three milestone payments, totaling $60 Million, payable upon achievement of the sales milestone thresholds set forth in clause (i), (ii) and (iii) of Section 8.3(a) above shall become payable to MERRIMACK hereunder.

  • Minimum Order When the Government requires supplies or services covered by this contract in an amount of less than one each, the Government is not obligated to purchase, nor is the Contractor obligated to furnish those supplies or services under the contract.

  • Milestone A principal event specified in the Contract Documents including the Material Completion and Occupancy Date and other events relating to an intermediate completion date or time.

  • Milestones Subject to the provisions of the SGIP, the Parties shall agree on milestones for which each Party is responsible and list them in Attachment 4 of this Agreement.   • Minimum Orders Client may order Manufacturing Services for batches of Products only in multiples of the Minimum Order Quantities as set out in Schedule B to a Product Agreement.

[*****] (b) For the purposes of determining whether a Net Sales Milestone Event has been achieved, Net Sales of Licensed Product(s) in the Territory shall be aggregated. For clarity, the annual Net Sales Milestone Payments set forth in this Section 8.3 (Commercial Milestones) shall be payable only once, upon the first achievement of the applicable Commercial Milestone Event, regardless of how many times such Commercial Milestone Event is achieved. (c) If a Commercial Milestone Event in Section 8.3 (Commercial Milestones) is achieved and payment with respect to any previous Commercial Milestone Event in Section 8.3 has not been made, then such previous Commercial Milestone Event shall be deemed achieved and EverInsight shall notify VistaGen within fifteen (15) calendar days of such achievement. VistaGen shall then invoice EverInsight for such unpaid previous Commercial Milestone Event(s) and EverInsight shall pay VistaGen such unpaid previous milestone payment(s) within thirty (30) Business Days of receipt of such invoice. (d) In the event that, VistaGen believes any Commercial Milestone Event under Section 8.3(a) has occurred but EverInsight has not given VistaGen the notice of the achievement of such Commercial Milestone Event, it shall so notify EverInsight in writing and shall provide to EverInsight data, documentation or other information that supports its belief. Any dispute under this Section 8.3(d) (Commercial Milestones - subsection (d)) that relates to whether or not a Commercial Milestone Event has occurred shall be referred to the JSC to be resolved in accordance with ARTICLE 3 (Governance) and shall be subject to resolution in accordance with Section 14.10 (Dispute Resolution). The Milestone Payments made for each Commercial Milestone Event shall be non-creditable and non-refundable.
